# ACCOUNTANCY AND BOOKKEEPING SERVICES AGREEMENT

Parties: Hawthorne Accountancy Limited and Juniper Homeware Limited
## 1. Parties and purpose
Hawthorne Accountancy Limited (Company No. 06554432), an ICAEW-regulated practice at 3 Market Street, York YO1 6AA, is engaged by Juniper Homeware Limited (Company No. 10192837), 72 Foss Road, York YO31 7RB. Partner Olivia Reed is the engagement lead; Juniper's finance director Samuel Grant remains responsible for management decisions.
## 2. Scope, price and subject
Hawthorne will maintain monthly ledgers, reconcile bank accounts, prepare quarterly VAT returns under Making Tax Digital, prepare annual statutory accounts and the corporation-tax return, and process payroll for up to 12 employees. Audit, R&D tax claims, investment advice, insolvency advice and HMRC investigations are excluded unless separately agreed in writing.
## 3. Operating duties
The fee is £480 plus VAT per month, payable by direct debit on the first day of each month; out-of-scope work is £110 per senior hour or £75 per assistant hour, plus disbursements. Juniper will deliver complete records by the fifth business day, approve draft returns promptly and retain original invoices, payroll evidence and bank statements.
## 4. Compliance, records and controls
Hawthorne will act with reasonable skill and care, follow applicable ICAEW ethical standards, conduct client due diligence and comply with UK anti-money-laundering law. It may pause work or make a required report where identity, source-of-funds or suspicious-activity obligations require it; confidentiality does not prevent a lawful report to HMRC, the NCA or another regulator.
## 5. Term, ending and remedies
For ordinary bookkeeping, Juniper is controller and Hawthorne is processor or independent controller as the activity requires; the parties will follow UK GDPR, maintain access controls and report a personal-data incident without undue delay. Hawthorne holds £1 million professional indemnity cover per claim and may not be relied on by a lender, purchaser or other third party without its written consent.
## 6. Liability and reservations
Neither party excludes liability for death or personal injury caused by negligence, fraud or deliberate misconduct. Subject to that, Hawthorne's aggregate liability is capped at fees paid in the preceding 12 months, except that the cap does not limit a client's obligation to pay or a statutory tax penalty caused by the client's late or inaccurate information. Hawthorne will correct its negligent error where reasonably possible.
## 7. Governing law and signatures
The engagement starts 1 August 2029 and either party may end it on 60 days' written notice; immediate termination follows serious breach, non-payment or unlawful instruction. On ending, Hawthorne returns client records and supplies a handover subject to cleared fees and lawful retention. England and Wales law applies; Olivia Reed and Samuel Grant sign on 8 July 2029.
