# ADVERTISING AGENCY AGREEMENT

Date: 4 March 2031

Parties: Merebrook Homeware Limited and Lantern & Field Advertising Limited

## 1. Purpose and parties

Merebrook appoints Lantern & Field as non-exclusive advertising agency for the UK launch of its energy-saving kettle. The agency may develop concepts, produce approved assets and buy media within the agreed campaign budget, but cannot bind Merebrook to a supplier or claim without authority.

## 2. Facts, scope and terms

The statement of work covers strategy, two video concepts, social assets, print artwork and a media plan from 10 March to 30 September 2031. Merebrook supplies accurate product specifications and approves copy, claims, influencers, budgets and final artwork in writing before publication.

## 3. Process and responsibilities

Lantern & Field must substantiate objective claims, identify paid influencer content, follow the CAP Code and applicable ASA requirements, respect consumer and environmental claims guidance, and obtain rights for music, models, locations and stock material. It must promptly pause an asset on a credible compliance concern.

## 4. Evidence, records and safeguards

On payment of fees and third-party costs, Lantern assigns newly created campaign artwork to Merebrook, subject to moral-rights consents and licences for agency background tools. Media spend is held separately where required and invoices identify commission, rebate and supplier charges transparently.

## 5. Review, escalation and outcome

The parties keep campaign data, customer lists and pre-release products confidential and comply with UK GDPR. Merebrook may audit spend and approvals; Lantern keeps substantiation files and version records for six years or the longer statutory period.

## 6. Reservations and practical protections

Fees are £9,500 monthly plus VAT and approved media spend. Either party may terminate on 30 days' notice; immediate termination applies for material breach or regulatory risk not cured promptly. Merebrook pays accepted work and non-cancellable media commitments, while Lantern delivers an orderly handover.

## 7. England and Wales law and completion

England and Wales law applies. Notices by hand, post and agency email are separate permitted methods. Authorised representatives sign on 4 March 2031; no campaign may go live before written client approval and rights clearance.
