# ADVERTISING AND SPONSORSHIP AGREEMENT

Parties: North Coast Radio Limited and Greenline Bicycles Limited
## 1. Parties and purpose
North Coast Radio Limited (Company No. 08744121), 2 Harbour Street, Newcastle upon Tyne NE1 2AB (Station), sells Greenline Bicycles Limited (Company No. 11900342), 70 Coast Road, Sunderland SR1 3PL (Sponsor), a twelve-week sponsorship of the Saturday Cycle Hour programme from 1 June to 24 August 2030.
## 2. Scope, price and subject
The package provides a ten-second opening credit, four 30-second spots per programme, one presenter-read message and a banner on the programme page, subject to the inventory in Schedule 1. The fee is £18,000 plus VAT, payable £9,000 on signing and £9,000 on 1 July.
## 3. Operating duties
Greenline supplies substantiated copy and approved trademarks by the deadlines. North Coast controls broadcast scheduling and may reject unsafe, unlawful or misleading copy, giving reasons and a reasonable replacement opportunity. No audience guarantee is made, but the Station provides monthly transmission logs and aggregate listening figures.
## 4. Rights, records and compliance
The Station obtains the relevant music and broadcast permissions and Greenline warrants its product, price and environmental claims are accurate. Both parties comply with the ASA/CAP Code, consumer-protection and privacy law. Neither uses a child's voice or personal data in an advert without the necessary permission.
## 5. Term, ending and remedies
Greenline has category exclusivity for bicycles and accessories during the programme, excluding the Station's existing public-service partners disclosed in Schedule 2. It may not imply that the Station endorses safety or performance claims beyond the approved copy. The Station may run editorially independent cycling coverage.
## 6. Liability and reservations
Either party may terminate for material breach not cured within ten Business Days, insolvency or a regulatory prohibition. On cancellation, Greenline pays delivered spots and committed production costs; the Station refunds unused prepaid inventory. Both promptly stop unlawful use and return confidential materials.
## 7. Governing law and signatures
England and Wales law governs and its courts have exclusive jurisdiction. Greenline director Alice Morgan and Station commercial director James Field sign on 10 May 2030. This agreement does not guarantee sales, editorial endorsement or a particular audience and does not limit mandatory advertising rights.
