# ARTIST COMMISSION AGREEMENT

Parties: Riverside Arts CIC and Imogen Cole
## 1. Parties and purpose
Riverside Arts CIC (Company No. 11782041), 40 Quay Street, Bristol BS1 4QA, commissions artist Imogen Cole of 12 Field View, Bath BA2 8LT to design and paint a 9-metre mural on the CIC's community hall at 40 Quay Street.
## 2. Scope, price and subject
The approved concept is River Birds, with the palette and mock-up in Schedule 1. The £14,400 fee plus VAT is paid £4,320 on signature, £5,040 when the wall is prepared and £5,040 on practical completion. Materials up to £1,200 are included; a change to the concept or site is a written variation.
## 3. Operating duties
Imogen supplies design, primer, paint and two assistants, works between 07:00 and 18:00 from 4 to 15 November 2029, and makes good ordinary paint spills. Riverside provides safe scaffold, power, access, permissions and a clean wall, and must not direct work in a way that creates a safety risk.
## 4. Rights, records and compliance
Imogen retains copyright in the artwork and grants Riverside a perpetual, worldwide, non-exclusive licence to display it at the hall and reproduce it in non-commercial reports, fundraising and press coverage with credit. Riverside may not sell merchandise or alter the work without consent. Imogen gives consent to reasonable adaptation for repair and waives moral-rights assertion only to that extent.
## 5. Term, ending and remedies
Imogen warrants that her original work will not knowingly infringe another's rights and that she has permission for any assistant's contribution. Riverside may photograph the mural with appropriate credit. Both parties comply with health and safety, safeguarding for public access, and data protection; neither records a visitor's image without a lawful basis.
## 6. Liability and reservations
Riverside may reject a material departure from the approved concept and give 10 Business Days to remedy. Either party may terminate for uncured material breach, paying for accepted work and non-cancellable materials; the mural remains protected from unauthorised removal and the licence already granted survives.
## 7. Governing law and signatures
The agreement is governed by the law of England and Wales and its courts have exclusive jurisdiction. Imogen and Riverside's chair Jonah Lewis sign on 9 October 2029. Liability for death, personal injury caused by negligence, fraud and statutory rights is not excluded.
