## 1. Purpose and parties

A meeting of the board of Northshore Bioanalytics Limited was held at the registered office on 14 February 2031 at 10:00. Directors Priya Shah (chair), Tom Ellis and Naomi Reed attended; the company secretary recorded the minutes. A quorum was present throughout.

## 2. Facts, scope and terms

The chair noted the agenda and confirmed that notice was properly given. Naomi declared an interest in the proposed laboratory lease because her spouse is a director of the landlord; she did not vote on that matter and left for the relevant discussion.
