# COMMERCIAL KITCHEN LICENCE

Date: 1 October 2029

Parties: Food Hub Manchester Limited and Northern Spoon Catering Limited

## 1. Parties and purpose

Food Hub Manchester Limited (Company No. 09881220), 5 Foundry Street, Manchester M1 2AB (Licensor), grants Northern Spoon Catering Limited (Company No. 12651004), 18 Dale Road, Stockport SK1 3HT (Licensee), a personal licence to use Bay 2 of its registered commercial kitchen at 5 Foundry Street.

## 2. Scope, price and subject

The licence is a contractual permission, not a lease or tenancy and gives no exclusive possession. Northern Spoon may prepare chilled meals for its office-lunch business between 06:00 and 14:00 on weekdays. It may not sleep, register its office, sub-license, store hazardous goods or allow unapproved users on site.

## 3. Operating duties

The monthly fee is £1,850 plus VAT, payable in advance by the first Business Day, including 40 booked hours and ordinary gas, electricity and water. Additional hours cost £32 plus VAT; a £1,000 deposit covers damage and cleaning. Food Hub provides ovens, refrigeration and extraction in the inventory; Northern Spoon supplies its own containers and labels.

## 4. Rights, records and compliance

Northern Spoon must maintain food-business registration, follow Food Standards Agency hygiene guidance, HACCP procedures, allergen controls, temperature logs, COSHH instructions and waste segregation. It must clean and sanitise its station after every session, report defects immediately and hold public/product-liability insurance of £2 million.

## 5. Term, ending and remedies

Food Hub may enter for inspection, maintenance and emergencies and keeps a booking calendar. It maintains the building, fixed equipment and fire systems, but does not warrant uninterrupted availability. Each party keeps business records for six years and reports any food-safety incident to the appropriate authority and the other party promptly.

## 6. Liability and reservations

Either party may end on 30 days' written notice; Food Hub may suspend access immediately for non-payment, contamination, unsafe conduct or loss of registration. On ending, Northern Spoon removes goods, returns access cards, pays cleaning or repair costs properly evidenced, and receives the balance of the deposit within 14 days.

## 7. Governing law and signatures

This licence is governed by England and Wales law and the courts of England and Wales have exclusive jurisdiction. Directors Maya Patel and Tom Hughes sign on 1 October 2029. The parties acknowledge that planning, environmental-health, fire and food-safety approvals remain separate legal requirements.
