# COMMERCIAL PREMISES LICENCE

Date: 1 September 2025

Parties: Licensor: Northgate Workspace Ltd, 18 Deansgate, Manchester M3 2BY. Licensee: Lumen Analytics Ltd, 7 Albion Street, Manchester M1 5NZ.

## 1. Parties, premises and term

Northgate Workspace Ltd grants Lumen Analytics Ltd a personal licence from 1 September 2025 until 28 February 2026 to use two desks in the first-floor open-plan area at 18 Deansgate, Manchester M3 2BY, as shown on Plan NG-1. The fee is £1,800 plus VAT per calendar month, payable in advance on the first day. This is a licence, not a lease: Lumen has no exclusive possession, and Northgate may relocate it to equivalent desks on 14 days' written notice.

## 2. Permitted use and services

The desks may be used only for Lumen's data-analysis office work by up to four named workers. Reception, Wi-Fi, heating, shared meeting rooms and cleaning are included; printing is charged at the published rate. Lumen must not create a nuisance, alter the space, display signs, store hazardous materials or assign or sublicense this licence.

## 3. Insurance, care and access

Lumen must maintain public-liability insurance of at least £2,000,000 and contents cover, supplying evidence within five working days of request. It must keep the area tidy, report damage promptly and follow Northgate's fire and security rules. Northgate may enter and inspect the shared area at reasonable times and immediately in an emergency.

## 4. Termination and hand-back

Either party may terminate on 28 days' written notice. Northgate may terminate immediately for serious safety breach, unlawful use or unpaid fees after a written demand allowing five working days to remedy. On expiry Lumen must remove property, return access cards and repair damage beyond fair wear; unauthorised overholding is charged at £120 per day.

## 5. Status, law and execution

The parties agree that sections 24–28 of the Landlord and Tenant Act 1954 are excluded only to the extent lawfully effective; this wording does not itself replace any required notice or court process. This agreement is governed by the law of England and Wales and disputes are subject to its courts.
