# CONTENT LICENSING AGREEMENT

Parties: Licensor: Maya Okafor, photographer of 7 Redcliffe Walk, Bristol BS1 6QP. Licensee: West Country Maritime Museum, 1 Harbour Quay, Exeter EX2 4AN.
## 1. Content and grant
The licensed content is the 18 final JPEG photographs in Schedule 1, depicting Bristol and Exeter harbour work in 2024: MC-01 harbour cranes at dawn (mc-01-cranes-dawn.jpg); MC-02 ferry wake (mc-02-ferry-wake.jpg); MC-03 rope coils (mc-03-rope-coils.jpg); MC-04 west quay warehouses (mc-04-west-quay.jpg); MC-05 pilot boat (mc-05-pilot-boat.jpg); MC-06 tide mark (mc-06-tide-mark.jpg); EX-01 Exeter lock gates (ex-01-lock-gates.jpg); EX-02 river warehouse (ex-02-river-warehouse.jpg); EX-03 tug at sunset (ex-03-tug-sunset.jpg); EX-04 quay bollards (ex-04-quay-bollards.jpg); EX-05 cargo net (ex-05-cargo-net.jpg); EX-06 harbour lights (ex-06-harbour-lights.jpg); EX-07 loading team (ex-07-loading-team.jpg); EX-08 rain on quay (ex-08-rain-quay.jpg); EX-09 chart room (ex-09-chart-room.jpg); EX-10 lifebuoy (ex-10-lifebuoy.jpg); EX-11 river reflection (ex-11-river-reflection.jpg); and EX-12 empty slipway (ex-12-empty-slipway.jpg). Maya grants the Museum a non-exclusive, worldwide, non-transferable licence during the term to reproduce, display and communicate them in the Museum exhibition, its website, printed programme and unpaid social posts promoting that exhibition.
## 2. Restrictions and approvals
The Museum may resize or crop only for layout and may not materially alter, license onward, sell merchandise, use paid advertising outside the exhibition campaign, train an AI system, or imply Maya endorses another product. The Museum shall send one proof of each printed use seven days before publication; silence is not approval.
## 3. Fee, reporting and credit
The fee is £3,600 plus VAT if properly chargeable, payable £1,800 within 14 days after signature and £1,800 on 1 September 2026. The Museum shall credit “Maya Okafor / 2025” where practicable and report each new campaign format within 10 business days. No royalty is due for permitted uses.
## 4. Rights, warranties and liability
Maya warrants that she created the photographs and, so far as she knows, the licence does not infringe another person's copyright; she does not warrant every depicted person's consent for every future use. The Museum must obtain any required venue, privacy or model permissions. Each party indemnifies the other for its own breach; liability for fraud, death or personal injury caused by negligence is not excluded, and other liability is capped at £3,600.
## 5. Expiry, takedown and execution
The licence ends on 31 August 2027 or earlier for an uncured material breach after 14 days' notice. Within 10 days after expiry the Museum shall stop new use, remove digital campaign files and confirm removal, while one locked archival copy may be retained for legal records. Existing printed programmes may remain in circulation until exhausted. English law governs and the courts of England and Wales have jurisdiction.
