# AGREED CONTRACT VARIATION LETTER
Date: 1 June 2032
Parties: Bramble Systems Limited and Lumen Arts Foundation, Services Agreement dated 17 February 2031
## 1. Purpose and parties
This Variation Letter is agreed on Tuesday 1 June 2032 between Bramble Systems Limited of 5 Quarry Road, Oxford OX4 2ST and Lumen Arts Foundation of 11 Gallery Square, Reading RG1 3AB. It varies the Services Agreement dated 17 February 2031, as previously varied by Variation 1 dated 1 September 2031. It is Variation 2, and its changes take effect on 1 July 2032 unless this letter expressly states otherwise.
## 2. Facts, scope and terms
Clause 4.2 (Service Fee) is deleted and replaced with: “From 1 July 2032, Lumen shall pay Bramble a fixed monthly service fee of £9,150 plus VAT, invoiced on the first calendar day of each month.” The former fee was £8,400 plus VAT, so the increase is £750 per month. No retrospective increase is due for June 2032, and the fee does not include third-party licence charges, which remain payable under clause 6.4.
## 3. Process and responsibilities
Clause 5.1 (Support Capacity) is deleted and replaced with: “Bramble will provide up to 48 Support Hours in each calendar month, including up to 12 hours outside 09:00–17:00 on Business Days, for the support services in Schedule 1.” The former monthly allowance was 40 Support Hours, so the additional allowance is 8 hours. Unused hours do not roll over, and work beyond 48 hours requires Lumen's written approval at the existing hourly rate of £125 plus VAT.
## 4. Evidence, records and safeguards
Clause 7.3 (Payment Date) is deleted and replaced with: “Each undisputed invoice is payable within 21 calendar days after its invoice date.” For example, the first varied invoice will be dated Thursday 1 July 2032 and will be payable on or before Thursday 22 July 2032, exactly 21 calendar days later. Lumen must notify Bramble of a genuine invoice dispute within five Business Days and must pay the undisputed part by the same due date.
## 5. Review, escalation and outcome
The parties agree that the mutual promises to provide and purchase the additional eight Support Hours, and Lumen's promise to pay the increased £750 monthly fee, are consideration for this variation. The original agreement's written-change requirement is satisfied by this signed letter. The parties intend it to be a simple contract, not a deed, and each signatory confirms authority to bind its organisation.
## 6. Reservations and practical protections
Except for clauses 4.2, 5.1 and 7.3 as replaced above, the Services Agreement, Variation 1, Schedule 1, service levels, confidentiality duties, data-protection obligations, intellectual-property provisions, liability cap, termination rights and governing-law clause remain unchanged and in full force. If this letter conflicts with an unchanged term, this Variation 2 prevails only to the extent of the conflict and only for the subject it expressly varies.
## 7. England and Wales law and completion
This completed fictional variation is governed by England and Wales law and forms part of the Services Agreement when signed by both parties. Lumen's authorised signatory Priya Nair and Bramble's authorised signatory Marcus Webb will sign on 1 June 2032 and exchange signed copies electronically. It does not create a new term beyond those stated, waive accrued rights or alter any invoice issued before 1 July 2032.
