# CONTRACTOR DAY RATE AGREEMENT

Parties: Larkspur Digital Ltd and Morgan Shaw Consulting Ltd
## 1. Parties and purpose
Larkspur Digital Ltd (Company No. 14322018) engages Morgan Shaw Consulting Ltd (Company No. 11980421) to lead the data-migration workstream for Project Meridian from 8 April to 31 October 2029. Morgan’s company, not Morgan personally, contracts as an independent business and supplies its own professional insurance and equipment.
## 2. Scope, price and subject
The deliverables are a migration plan by 19 April, tested scripts by 31 May, two rehearsals and a signed completion report. The day rate is £720 plus VAT for a seven-hour day, invoiced fortnightly with approved timesheets and payable within 30 days. Pre-approved rail, hotel and reasonable security-screening costs are reimbursable against receipts.
## 3. Operating duties
Larkspur determines employment status for tax and has issued an off-payroll status determination statement stating that the engagement is outside IR35 on the facts recorded: Morgan controls how the work is done, bears rectification risk and is not required to accept future work. The parties must revisit the determination if working practices materially change.
## 4. Compliance, records and controls
Morgan may provide a suitably skilled substitute with Larkspur’s reasonable approval, subject to security and confidentiality checks; Larkspur may reject only on reasonable grounds. There is no obligation to offer or accept work beyond this assignment, and Larkspur controls deliverable acceptance and site security rather than day-to-day employment supervision.
## 5. Term, ending and remedies
All foreground IP created specifically for Project Meridian is assigned to Larkspur on creation, with a present assignment of future rights; Morgan retains background tools and grants Larkspur a perpetual licence needed to use the deliverables. Morgan handles personal data only on documented instructions and follows UK GDPR, security and incident-reporting requirements.
## 6. Liability and reservations
Either party may terminate on 15 business days’ notice; immediate termination applies for serious breach, insolvency, security failure or loss of a required qualification. Larkspur pays undisputed fees for accepted work up to exit, and Morgan returns credentials, data and equipment. Any restrictive covenant is limited to non-solicitation of named project staff for six months.
## 7. Governing law and signatures
English law governs and courts of England and Wales have jurisdiction. Larkspur’s procurement director Eva Green and Morgan’s director Morgan Shaw sign on 8 April 2029. The label contractor is not conclusive: a tribunal or HMRC may determine status from the real relationship, and the parties will not misrepresent it.
