# INDEPENDENT CONTRACTOR TERMINATION LETTER

Parties: Northstar Design Ltd and Alex Morgan
## 1. Purpose and parties
Northstar Design Ltd of 18 King Street, Bristol BS1 4QA writes to Alex Morgan of 7 Fern Close, Bath BA1 6TR about the consultancy agreement dated 1 October 2031. Alex has provided user-interface design as an independent contractor, not as an employee, for the Northstar mobile project.
## 2. Facts, scope and terms
Under clause 11, either party may terminate the agreement on 30 days' written notice. This letter gives that notice on 4 April 2032, so the contractual end date is 4 May 2032. Northstar does not describe this notice as dismissal, redundancy or a finding of misconduct, and nothing here changes Alex's tax or employment status.
## 3. Process and responsibilities
Northstar will pay approved work completed to 4 May and Alex's final undisputed invoice, provided a valid invoice is supplied by 11 May. The agreed fee is £2,400 per month; April's full monthly fee is £2,400 and the four days of May are calculated as £2,400 ÷ 30 × 4 = £320, subject to the contract and work actually delivered. No termination fee is claimed.
## 4. Evidence, records and safeguards
Alex will deliver the current design files, source assets, access credentials through the secure channel and a written handover by 4 May. Northstar will identify any genuinely incomplete acceptance items by 18 April and will not require unpaid work outside the agreed scope. Each party will return or securely delete the other's confidential material, subject to lawful record-retention duties.
## 5. Review, escalation and outcome
The confidentiality, intellectual-property assignment and data-protection provisions that expressly survive termination remain in force. Subject to payment, Northstar will own deliverables assigned under clause 8; Alex may retain general skills and know-how but must not reuse Northstar's confidential product information. Personal data in the project workspace must be exported only as authorised and then deleted.
## 6. Reservations and practical protections
Northstar asks Alex to acknowledge receipt by 8 April and to raise any disputed invoice or handover issue in writing by 18 April. The parties will hold a closing call on 2 May. A disagreement does not extend the end date or permit either party to withhold an undisputed sum, and the agreement's English law and escalation clause continue to apply.
## 7. England and Wales law and completion
This completed fictional letter is dated 4 April 2032 and is governed by the contract and England and Wales law. It is not legal advice or a unilateral amendment of terms. Northstar keeps proof of delivery and a completion checklist; Alex may obtain independent advice and should preserve records needed for tax, insurance and any dispute.
