# CORPORATE HOSPITALITY AGREEMENT

Date: 4 November 2029

Parties: Cedar House Events Limited and Linton Engineering plc

## 1. Parties and purpose

Cedar House Events Limited will provide Linton Engineering plc with a corporate hospitality evening for 80 invited guests at the Riverside Gallery, Birmingham B1 2HF, on 6 December 2029. The booking includes private room hire from 18:00 to 23:00, reception drinks, a three-course meal, non-alcoholic alternatives, audiovisual equipment and two event staff.

## 2. Scope, price and subject

The package price is £14,400 plus VAT, with £4,800 payable on signing and the balance due 14 days before the event. A confirmed guest count is due seven days before the event; additional guests are £180 plus VAT each subject to capacity. Linton supplies dietary, accessibility and emergency information lawfully and Cedar confirms the venue and caterer.

## 3. Operating duties

Cedar will obtain or rely on the venue's relevant premises and alcohol permissions, use competent caterers, follow food-safety and fire rules and provide an accessible route and reasonable adjustments notified in time. Linton controls invitations and must not offer hospitality as an improper inducement; both parties comply with the Bribery Act 2010, sanctions and their own gifts policies.

## 4. Compliance, records and controls

Cedar must keep guest names, dietary information and event security details confidential, use them only to deliver the booking and delete routine copies after 90 days unless law requires retention. Linton remains responsible for its invitation list and lawful basis. Photography or filming is permitted only with clear notice and consent, and Cedar may not publish guest images.

## 5. Term, ending and remedies

Linton may cancel more than 60 days ahead with the deposit forfeited, 30–60 days ahead for 50% of the price, or within 30 days for the full price less Cedar's saved costs. One date change is possible if the venue is available. If the venue becomes unavailable or an event restriction prevents performance, Cedar will offer a comparable date or refund undelivered services.

## 6. Liability and reservations

Neither party excludes liability for fraud, death or personal injury caused by negligence, food safety breach or unlawful discrimination. Other aggregate liability is capped at the price paid, except Linton must pay undisputed sums and Cedar must not charge for guests it cannot accommodate. The parties will record incidents and co-operate with any regulator or insurer.

## 7. Governing law and signatures

England and Wales law governs and courts have exclusive jurisdiction. Notices may be hand-delivered, posted or emailed as separate methods, with email effective on recorded delivery. Cedar's director Rowan Lewis and Linton's procurement director Sarah Ahmed sign on 4 November 2029; this agreement does not authorise either party to make a public endorsement.
