# CROWDFUNDING INVESTMENT AGREEMENT

Date: 20 May 2038

Parties: Harbour Robotics Ltd and 146 individual investors

## 1. Subscription and consideration

Each investor subscribes for the number of ordinary shares shown in the platform allocation at the aggregate price allocated to that investor. The total consideration is £350,000, and the company will issue the shares only after cleared funds are received.

## 2. Conditions and completion

Completion is conditional on the minimum round closing and satisfactory identity and source-of-funds checks. If those conditions are not met, the platform will return subscription money under its process and no investor will receive shares.

## 3. Rights and use of funds

The issued shares are one class of ordinary shares carrying voting and information rights subject to the company's articles. Harbour will use the funds for Dockhand development and provide quarterly updates describing use of funds, without promising a particular outcome.

## 4. Risk, transfer and termination

The investment is illiquid, may lose all value and is not a deposit; no dividend, return or exit is promised. Shares may be transferred only as permitted by the articles and applicable law. A failed condition ends the subscription without further obligation.

## 5. Law and execution

This agreement is governed by the law of England and Wales, and disputes are subject to the courts of England and Wales. Each investor confirms authority and required disclosures, and an electronic platform acceptance forms that investor's signature.
