# DEBT ASSIGNMENT AGREEMENT

Parties: Hawthorn Office Supplies Limited, Lumen Recoveries Limited and Daniel Price
## 1. Parties and purpose
Hawthorn Office Supplies Limited (Company No. 05541209), 2 Market Lane, Nottingham NG1 2HX (Assignor), sells and absolutely assigns to Lumen Recoveries Limited (Company No. 12100981), 19 Regent Street, Leicester LE1 5SP (Assignee), its debt claim against Daniel Price of 44 Cedar Close, Derby DE1 4QW (Debtor).
## 2. Scope, price and subject
The debt is £12,480.60 for invoices HS-4412 to HS-4420 under the 2028 trade account, due on 30 April 2029, plus contractual interest and reasonable recovery costs. Lumen pays £8,900 by BACS on 2 July 2029; the price is not a guarantee that the Debtor will pay and collection risk passes at completion.
## 3. Operating duties
Hawthorn warrants that the debt exists, is unpaid, has not been compromised, assigned or charged, and that it knows of no defence, set-off or counterclaim. Hawthorn does not warrant collectability and must promptly pass to Lumen any payment or correspondence received after completion.
## 4. Rights, records and compliance
Hawthorn must send Daniel a written notice of assignment under section 136 of the Law of Property Act 1925 by first-class and recorded post, with a copy by email, within five Business Days. The notice identifies Lumen's bank details and warns Daniel to verify any change of account independently; after notice, Lumen handles communications.
## 5. Term, ending and remedies
The parties lawfully share invoice, address and contact information under UK GDPR for assignment, account administration and debt recovery. Lumen restricts access to trained staff, records a lawful basis, uses proportionate contact and observes applicable FCA rules and consumer-credit protections if they apply.
## 6. Liability and reservations
Hawthorn indemnifies Lumen for loss caused by a pre-completion payment, invalid debt, prior assignment or breached warranty. Lumen may seek interest, damages and an account of recoveries; nothing authorises harassment, misleading statements or recovery of sums not legally due.
## 7. Governing law and signatures
This agreement is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction. Hawthorn's director Megan Wood and Lumen's director Tariq Malik sign on 1 July 2029; Daniel is not required to sign, but is entitled to clear notice and any statutory debtor protections.
