# EXAMPLE: DEED OF ASSIGNMENT OF LEASE

Parties: Beacon Retail Limited, Orchard Foods Limited and Fallowfield Estates Limited
## 1. Parties and property
This deed is made on 10 May 2029 between Beacon Retail Limited (Assignor), Orchard Foods Limited (Assignee) and Fallowfield Estates Limited (Landlord). It concerns the lease of Unit 2, Fallowfield Parade, Leeds LS6 2AB, title SYK123456, dated 16 March 2014 and registered under title number WYK998877.
## 2. Consideration and rights
For consideration of £62,000 paid by Orchard to Beacon, Beacon assigns the whole of its leasehold estate and benefit of the lease to Orchard with full title guarantee from completion. Orchard accepts the premises subject to the lease, superior title, plan and registered charges.
## 3. Conditions and covenants
The Landlord's written consent dated 2 May 2029, any authorised guarantee agreement, lender consent and evidence of insurance are conditions to completion. Orchard has inspected the property, accepts its repair condition and will not rely on an unrecorded representation.
## 4. Management and liability
From completion Orchard pays rent, service charge and insurance rent, observes tenant covenants and indemnifies Beacon for post-completion breach. Beacon remains liable only to the extent preserved by the lease or authorised guarantee agreement; Fallowfield releases it only as expressly stated.
## 5. Registration and tax
Completion occurs on delivery after the premium, rent apportionment, consent fee and registration documents are exchanged. The parties will notify the managing agent, update the rent account and cooperate with Land Registry registration and any SDLT return.
## 6. Term and effect
No assignment transfers fixtures that the lease treats as landlord's fixtures, and no subletting or change of use is authorised. The parties must check VAT, SDLT, registration, restrictions, corporate capacity and execution requirements before filing.
## 7. Execution as a deed
Each company executes this deed by two directors or a director in the presence of a witness. The deed is delivered on the date above and takes effect on completion. Assignor: ____________________; Assignee: ____________________; Landlord consent: ____________________.
