# DEED OF GIFT

Date: 21 June 2029

Parties: Margaret Ellis and Sophie Ellis

## 1. Maker and purpose

I, Margaret Ellis of 4 Rosebank Crescent, Bath BA1 6NP, make this deed in favour of my daughter Sophie Ellis of 19 Vale Road, Bristol BS8 2LD. I am giving the item described below voluntarily and without receiving money or other consideration.

## 2. Transfer or grant of rights

The gift is one oil painting, The Orchard at Dusk by fictional artist Rowan Vale, signed lower right, framed, with provenance file RE-1978-04. I warrant that I own it free of security and have authority to give it, subject to the disclosed museum loan ending 30 June 2029.

## 3. Conditions and confirmations

I transfer ownership to Sophie when this deed is delivered, conditional on the painting being collected from Bath Gallery on 2 July 2029. Risk passes on collection; Sophie must insure it from that time and pays framing, transport and conservation costs.

## 4. Property and liability

Sophie accepts the gift and may display, lend or sell it, subject to any third-party rights in the provenance and applicable cultural-property, export and tax laws. No warranty is given about investment value, authenticity beyond the provenance held, or future sale price.

## 5. Term and effect

This gift is not intended to be repayable or a loan, but I may revoke before delivery if Sophie rejects it or a stated condition is not met. I confirm that I retain sufficient assets for my needs and am not making the gift to defeat creditors or evade tax.

## 6. Legal reservations

The parties understand that inheritance-tax, capital-gains, gift and benefit consequences depend on facts and current law. This deed does not replace a will, alter lifetime gifting rules, or bind HMRC, a lender, an insolvency office-holder or the court.

## 7. Execution as a deed

I sign and deliver this instrument as a deed in the presence of an independent witness, who signs and records name and address. Sophie signs acceptance on 21 June 2029; each keeps a copy with the provenance file.
