# EXAMPLE: DEED OF GUARANTEE

Parties: Elena Morris, Oakridge Estates Limited and Samuel Morris
## 1. Parties and property
This deed is made on 21 October 2028 by Samuel Morris of 9 Fern Close, Oxford OX3 8QJ in favour of Oakridge Estates Limited, for the letting to Elena Morris of Flat 12, Scholar House, Oxford OX1 3PN under the tenancy dated 21 October 2028. The landlord's registered title and lease covenants must be checked.
## 2. Consideration and rights
In consideration of Oakridge granting or continuing the tenancy, Samuel guarantees punctual payment of rent and performance by Elena of the tenant covenants. The guarantee covers the original term and any lawful statutory continuation, but no new tenancy or variation binds Samuel without his written consent.
## 3. Conditions and covenants
Samuel's aggregate liability is capped at £18,000, excluding enforcement costs reasonably incurred and liability arising from fraud. Oakridge must give written demand stating the ledger, breach and remedy sought, and must credit payments or recoveries received from Elena or a deposit.
## 4. Management and liability
Oakridge may allow time, waive a breach, vary rent by a lawful mechanism or pursue Elena first without releasing Samuel, but a material increase in obligations, surrender, assignment or extension requires Samuel's written consent. No guarantee is given for a different property or tenant.
## 5. Registration and tax
Samuel confirms he has received the tenancy and guarantor information, had the opportunity for independent advice and understands that enforcement may affect his home and credit. Oakridge must use personal data only for management, enforcement and lawful records.
## 6. Term and effect
A demand must be delivered by hand or first-class post to Samuel's address, and he must notify a change of address. If a payment is made under this deed, Oakridge assigns no tenancy rights to Samuel and Samuel has no right to occupy the property.
## 7. Execution as a deed
This deed is delivered on the date written above and is governed by England and Wales law. Samuel signs in the presence of an independent witness, who signs and adds name and address; Oakridge signs by two authorised signatories or one director witnessed, and each party intends immediate delivery.
