# DEED OF RECTIFICATION

Parties: Harbourview Developments Ltd and Priory Retail Ltd
## 1. Maker and subject
Harbourview Developments Ltd (Company No. 11660214) and Priory Retail Ltd (Company No. 08771192) are the parties to a transfer deed dated 4 July 2029 concerning Unit 3, Harbour Exchange, Portsmouth PO1 2AA. The parties execute this deed to correct a clerical error discovered during Land Registry requisitions.
## 2. Grant of rights or release
The transfer incorrectly stated title number HP123456 and referred to Plan A, whereas the property transferred was always intended to be registered title HP123465 and Plan B, Unit 3 edged red. The corrected particulars are set out in Schedule 1. No price, boundary, permitted use, covenant, completion date or substantive allocation of risk is changed.
## 3. Consideration and confirmations
Each party confirms that it signed the original transfer intending the corrected property description, paid and received the agreed £615,000 consideration, and has occupied or dealt with the correct Unit 3 consistently. The mistake was mutual and documentary; this deed is not an opportunity to renegotiate the transfer or release a mortgagee’s consent.
## 4. Continuing obligations
The parties authorise their conveyancers to lodge this deed and the appropriate application with HM Land Registry, answer requisitions and correct the title and plan references. Each will provide certified copies and further signatures reasonably required. Until registration, the original transfer and this deed are read together so far as legally effective.
## 5. Term, termination and remedies
The covenants, indemnities, notices, completion obligations and governing-law terms of the original transfer continue unchanged. If a correction conflicts with a substantive term, the substantive term prevails and the parties must seek further legal advice rather than infer a new bargain. Costs of rectification are shared equally, excluding a party’s own tax advice.
## 6. Law and reservations
This deed does not warrant that HM Land Registry will accept the application, cure an issue outside the clerical mistake or alter third-party rights. Either party may seek specific performance or an order for rectification if needed. The correction remains effective between the parties from delivery, subject to registration law and priority.
## 7. Execution as a deed
English law governs and courts of England and Wales have exclusive jurisdiction. Harbourview executes by two authorised signatories and Priory by two authorised signatories. Each witness signs and records name and address. The parties intend immediate delivery as a deed on 15 October 2029 and confirm independent conveyancing advice was available.
