# DEED OF RELEASE AND DISCHARGE

Date: 20 March 2029

Parties: Fenwick Bank plc and Marcus Bell

## 1. Maker and subject

Fenwick Bank plc (Company No. 00481922) of 90 King Street, London EC2V 8BB releases Marcus Bell of 7 Orchard Rise, Reading RG1 6PT from the personal guarantee dated 12 April 2025 supporting the £420,000 facility to Bell & Shore Kitchens Ltd.

## 2. Grant of rights or release

The release takes effect on delivery of this deed after Fenwick has received £420,000 principal, accrued interest and agreed enforcement costs in cleared funds. It is full and final for liabilities arising under that guarantee and the facility up to the deed date.

## 3. Consideration and confirmations

The release does not waive fraud, deliberate misrepresentation, liability created by this deed, or sums received by Fenwick subject to a valid reversal or clawback. Fenwick confirms that, as at delivery, it has no pending claim against Marcus under the released guarantee.

## 4. Continuing obligations

Fenwick will instruct its solicitors to file the appropriate Companies House MR04 for the company debenture dated 12 April 2025 within ten Business Days if the filing is available, and will return Marcus’s original guarantee acknowledgement within 21 days. Any Land Registry discharge requires a separate lender process.

## 5. Term, termination and remedies

Marcus gives Fenwick a counter-release for claims arising from the guarantee’s enforcement to the deed date, except fraud and deliberate misrepresentation. Each party remains responsible for its own tax, legal advice and costs unless this deed expressly states otherwise.

## 6. Law and reservations

This deed does not release Bell & Shore Kitchens Ltd, alter any continuing loan obligation, or discharge security not identified in it. English law applies and the courts of England and Wales have exclusive jurisdiction. No oral statement varies the release.

## 7. Execution as a deed

Fenwick executes this document by two authorised signatories. Marcus signs as an individual in the presence of witness Sophie Grant, who signs and records her address. Each party intends immediate delivery as a deed on 20 March 2029, and Marcus confirms he had the opportunity to obtain independent legal advice.
