# SAMPLE DILAPIDATIONS NOTICE

Parties: Cedar Quays Limited and Northmere Foods Limited
## 1. Status of this document
Cedar Quays Limited writes to Northmere Foods Limited about Unit 7, Canal Wharf, Leeds LS10 1AB, under the lease dated 1 April 2024. This is an interim schedule and notice, not a final valuation or a court claim.
## 2. Parties and subject
The inspection on 5 February found damaged loading-bay doors, leaking rooflights, an unpainted external elevation and waste stored contrary to the repairing and yielding-up covenants. Photographs and the surveyor's schedule are enclosed.
## 3. Facts and request
Cedar asks Northmere to make safe the doors within seven days, repair the rooflights within 21 days and submit a programme for the other items within 14 days. Work must use competent contractors and preserve statutory health-and-safety compliance.
## 4. Checks and evidence
The estimated cost is £28,600, but Cedar will mitigate loss and will not claim an amount exceeding the lawful measure of loss. Northmere may propose its own inspection, access plan or reasonable alternative remedy.
## 5. Procedure and deadline
Access must be agreed with the estate manager. Northmere should retain invoices, certificates and photographs and must not admit liability by cooperating with urgent safety work. The lease's yielding-up obligations remain reserved.
## 6. Rights and remedies
If the breaches are not addressed, Cedar may seek damages, specific performance or another lawful remedy after taking account of the lease, any break or renewal event and the principles applicable to dilapidations.
## 7. Records and signature
The notice is served by hand and first-class post, with email also permitted to the lease notice address. Cedar invites a written response by 26 February 2029 and records that negotiations are without prejudice only if expressly marked so.
