# DIRECTOR'S LOAN AGREEMENT

Parties: Helen Ward and Northmoor Analytics Limited
## 1. Purpose and parties
Helen Ward, director of Northmoor Analytics Limited (Company No. 11834021), lends £60,000 from her personal funds to the company at 14 Albion Quay, Leeds LS1 5RD. Northmoor's board has approved the borrowing, recorded Helen's interest and confirmed authority under the articles; this is not a loan from company to director.
## 2. Facts, scope and terms
The advance is one bank transfer on 5 July 2030 into Northmoor's business account. The principal is unsecured and may be used for working capital, not dividends or an unlawful distribution. The company records a director-loan creditor account and gives Helen a statement after each payment.
## 3. Process and responsibilities
Interest is 4.5% per annum, accruing daily on the outstanding balance and payable quarterly. The parties will review whether the rate is commercially supportable; HMRC tax treatment, deductibility and any benefit-in-kind issue will be checked by the company's accountant rather than assumed away.
## 4. Evidence, records and safeguards
Northmoor repays 36 monthly instalments of principal £1,666.67 plus accrued interest from 1 August 2030, with a final balancing payment. It may prepay without charge. Helen may demand repayment on 30 days' written notice, but the board must consider solvency, creditor interests and Companies Act 2006 directors' duties before authorising payment.
## 5. Review, escalation and outcome
Default includes two missed instalments, insolvency, material misrepresentation or use outside the agreed purpose. After notice and a 10-Business-Day cure period, Helen may demand the balance and reasonable enforcement costs. No default interest or deduction may operate as a penalty or prefer Helen unlawfully over creditors.
## 6. Reservations and practical protections
The minutes retain the declaration of interest, approval, cash-flow forecast and accountant's tax note. If the direction ever changes to company-to-director, the parties must stop and obtain advice on Companies Act 2006 restrictions, Corporation Tax Act 2010 section 455 and benefit-in-kind rules; this document does not authorise that transaction.
## 7. England and Wales law and completion
England and Wales law applies and courts have jurisdiction. Notices by hand, post or email to the recorded addresses are separate methods, with receipt rules in the schedule. Helen and Finance Director Jamal Khan sign on 2 July 2030; variation requires board approval and signed writing.
