# DISTRIBUTION TERMINATION NOTICE

Parties: North Coast Foods Ltd and Vale Distribution Ltd
## 1. Addressee and subject
To: The Directors, Vale Distribution Ltd. Subject: expiry and non-renewal of the exclusive distribution appointment for North East England. This letter records North Coast's decision and is not a new appointment.
## 2. Chronology and contractual basis
The parties signed the appointment on 1 May 2036. Its agreed term ends on 30 April 2038. North Coast relies on that expiry provision and does not allege a breach or seek to shorten the agreed term.
## 3. Orders, stock and payment
Please send a pipeline and stock reconciliation by 24 April 2038. Orders accepted before expiry will be fulfilled under the appointment where practicable, and commission remains payable on cleared receipts in accordance with its terms.
## 4. Data, records and transition
After completion of outstanding work, return or securely delete customer personal data unless retention is required by law. Both parties should retain accounting and correspondence records needed to reconcile commission or resolve a dispute.
## 5. Requested confirmation and sign-off
Please confirm by 24 April that the reconciliation, customer handover and final invoices will be coordinated with North Coast. This notice is issued by North Coast Foods Ltd, without waiving any accrued contractual right.
