# BUSINESS EQUIPMENT LEASE AGREEMENT

Parties: Cedar Quay Finance Ltd and Bracken Foods Ltd
## 1. Purpose and parties
This equipment lease is made on 12 February 2035 between Cedar Quay Finance Ltd, company number 11840726, of 14 Harbour Exchange, Bristol BS1 5HL, as lessor, and Bracken Foods Ltd, company number 12765084, of Unit 6, Marsh Lane, Bath BA2 3NX, as lessee.
## 2. Facts, scope and terms
Cedar Quay leases one RotaFill 2400 bottling line, serial RF2400-7719, with a 400-litre tank and control cabinet, for Bracken's food-production site. Delivery and acceptance will occur on 3 March 2035 after an installation test; title remains with Cedar Quay and the lease grants possession, not ownership.
## 3. Process and responsibilities
The term is 36 months from acceptance. Bracken will pay £2,400 plus VAT monthly in advance on the third day of each month, so the scheduled rent is £86,400 before VAT. A £4,800 security deposit is held without interest and may be applied to genuine sums due, with an account provided after return.
## 4. Evidence, records and safeguards
Bracken will operate the line with trained staff, follow the manufacturer manual and food-safety requirements, keep it at Unit 6 and obtain consent before moving or altering it. Cedar Quay will arrange quarterly preventative maintenance and respond to a reported material fault within two business days, subject to parts availability.
## 5. Review, escalation and outcome
Bracken will insure the equipment for its replacement value, keep it clean and protect it from seizure or unauthorised security. It bears ordinary operating consumables and damage caused by misuse; Cedar Quay bears latent defects and fair wear. Neither party promises uninterrupted production or a particular business result.
## 6. Reservations and practical protections
A party may terminate for a material breach after 14 days' written opportunity to remedy, subject to any mandatory protections. Bracken must make the equipment available for collection at term end, in its delivered condition allowing for fair wear, and Cedar Quay will issue a final condition report and return any undisputed deposit balance within 30 days.
## 7. England and Wales law and completion
This completed fictional agreement is governed by England and Wales law. It is a business lease and does not by itself create regulated consumer credit or hire-purchase rights; the parties should check any applicable regulatory classification. Neither party excludes liability that cannot lawfully be excluded.
