# EQUIPMENT MAINTENANCE AGREEMENT

Date: 11 November 2029

Parties: Precision Service Engineering Limited and Halcyon Laboratory Limited

## 1. Parties and purpose

Precision Service Engineering Limited (Company No. 07112233) of 7 Forge Close, Cambridge CB5 8DY will inspect and maintain Halcyon Laboratory Limited's three temperature-controlled centrifuges and two analytical balances at 16 Science Park, Cambridge CB4 3AZ. The asset schedule lists serial numbers, calibration status and the manufacturer's instructions.

## 2. Scope, price and subject

The annual programme includes quarterly preventive visits, calibration traceable to UKAS-accredited standards where available, emergency callout and a service certificate for each asset. The annual fee is £11,500 plus VAT, paid quarterly; replacement parts, specialist calibration and travel outside 40 miles are quoted before supply. No work may invalidate an existing manufacturer's warranty without Halcyon's written approval.

## 3. Operating duties

Precision will provide a competent engineer, risk assessment and method statement, isolate equipment before unsafe work and return each asset with a signed job sheet. Halcyon provides safe access, clean utilities, manuals, competent laboratory contact and decontamination certification. Halcyon must not use an asset after a failed safety check and must report abnormal readings or contamination immediately.

## 4. Compliance, records and controls

Records include calibration results, tolerances, parts, photographs, defects, downtime and engineer identity. Precision gives a quarterly report and immediately escalates a failed calibration or safety-critical defect. Halcyon retains statutory and quality-system records and remains responsible for deciding whether an instrument is fit for a regulated experiment; Precision does not certify scientific results.

## 5. Term, ending and remedies

Precision warrants maintenance workmanship for six months and will revisit to correct a defect notified during that period. It will keep professional indemnity £1 million and public liability £5 million. Neither party excludes liability for fraud, death or personal injury caused by negligence, contamination caused by its breach or deliberate misconduct; other liability is capped at twice the annual fee.

## 6. Liability and reservations

The initial term is 12 months from 1 December 2029 and renews annually unless 90 days' notice is given. A party may terminate for material breach after 15 business days to remedy, insolvency or unsafe cooperation. On termination, Precision returns records and parts paid for; Halcyon pays work completed and arranges safe access for removal.

## 7. Governing law and signatures

England and Wales law governs. Notices may be delivered by hand, post or email as separate permitted methods, and email is received when the recipient server records delivery. Precision's director Mei Lin and Halcyon's laboratory director Edward Price sign on 11 November 2029, acknowledging that operational schedules and manufacturer manuals supplement but do not replace this agreement.
