# EVENT SERVICES AGREEMENT

Parties: Northstar Events Limited and Willowbrook Arts Foundation
## 1. Parties and purpose
Northstar Events Limited of 3 Harbour Exchange, London E14 9GE will plan and coordinate Willowbrook Arts Foundation's “Autumn Light” fundraising dinner at The Guildhall, Winchester SO23 9AH on 19 October 2029.
## 2. Money and rights
The services include venue liaison, guest-list management, supplier quotations, schedule, room layout, accessibility planning and on-the-day coordination from 14:00 to 23:30. Northstar will use reasonable care but does not guarantee supplier performance.
## 3. Duties and operation
The agreed event budget is £38,000 excluding VAT, including supplier costs. Willowbrook will pay Northstar a management fee of £4,800 plus VAT in three instalments: £1,600 on signing, £1,600 on 1 October and the balance on completion.
## 4. Consent and management
Northstar may place supplier orders up to £5,000 per item only after Willowbrook's written approval. Willowbrook will supply branding, guest numbers, dietary information and speeches by the agreed dates and will pay approved supplier invoices as stakeholder funds become due.
## 5. Ending and remedies
Cancellation more than 60 days before the event attracts the management fee incurred to date; 30–60 days attracts 50% of the fee plus committed costs; under 30 days attracts the full fee and committed costs. One postponement within six months may be agreed subject to availability.
## 6. Legal reservations
Each party maintains suitable insurance. Northstar's aggregate liability is capped at the management fee, except for death or personal injury caused by negligence, fraud or liability that cannot be limited. Neither party is liable for unforeseeable consequential loss.
## 7. Signatures
A force-majeure event permits postponement or termination after reasonable consultation, with committed non-refundable costs accounted for. England and Wales law applies; the parties will escalate disputes to senior representatives before court proceedings, and sign this agreement.
