# EXECUTIVE EMPLOYMENT CONTRACT

Date: 8 April 2029

Parties: Westridge Renewables Ltd and Naomi Fletcher

## 1. Parties and purpose

Westridge Renewables Ltd (Company No. 12750931) of 31 Harbour Street, Newcastle upon Tyne NE1 2AB appoints Naomi Fletcher as Chief Operating Officer from 8 April 2029. Continuous employment starts on that date, and she reports to the Board while remaining an employee rather than automatically a statutory director.

## 2. Scope, price and subject

Base salary is £185,000 gross per year, paid monthly in arrears by BACS. A discretionary target bonus of 35% may be awarded against safety, operating-margin and delivery KPIs; it is not guaranteed and remains subject to the Board’s good-faith assessment. The company will auto-enrol her into its pension with a 10% employer contribution.

## 3. Operating duties

Naomi may receive options under the Westridge LTIP, but each grant requires a separate plan document, shareholder authority where needed and HMRC treatment where relevant. Benefits are family private medical cover, £700 monthly car allowance, four-times salary life assurance and D&O insurance with six years’ run-off where available.

## 4. Compliance, records and controls

Naomi owes duties of fidelity, confidentiality, conflict disclosure and proper care in any directorship. She must protect customer, project and grid-connection information, assign employment-created IP to Westridge, comply with anti-bribery and health-and-safety policies, and obtain Board consent before an outside appointment that conflicts with her role.

## 5. Term, ending and remedies

Either party gives nine months’ written notice. Westridge may place her on garden leave with salary and contractual benefits or make a lawful PILON, with deductions required by law including PENP rules. During garden leave she must remain available, return property and not contact customers except as authorised.

## 6. Liability and reservations

For six months after employment, she must not solicit customers with whom she had material dealings in the previous 12 months or solicit senior employees. A three-month non-compete applies only to UK renewable-operations businesses competing directly with Westridge; each restriction is separate, reasonable and subject to any court’s enforceability assessment.

## 7. Governing law and signatures

English law governs; statutory employment claims remain for the Employment Tribunal and other claims may be heard by the courts of England and Wales. Naomi and Westridge’s People Director Marcus Hale sign on 8 April 2029. The contract preserves minimum statutory rights and does not promise a bonus, option value or continued employment.
