# FLAT PURCHASE OFFER LETTER

Parties: Tom Chen, Sarah Chen and Elizabeth Morton

## 1. Purpose and parties

Tom Chen and Sarah Chen offer to buy Flat 5, The Maltings, 22 Quay Street, Bristol, BS1 6QA, from Elizabeth Morton for £350,000. The offer is made through Harbour View Estate Agents on 1 October 2031 and is subject to contract; neither the letter nor the agent's acceptance is intended to create a binding sale before exchange of contracts.

## 2. Facts, scope and terms

The buyers have an agreement in principle dated 12 September 2031 from Cedar & Crown Building Society and will fund the purchase with a £70,000 deposit and a £280,000 mortgage, subject to valuation and underwriting. Their conveyancer is Ashford Legal LLP, 8 Corn Street, Bristol, BS1 1JG, reference AC/2031/908. They ask the seller to send the draft contract and replies to enquiries to Ashford Legal promptly.

## 3. Process and responsibilities

The offer depends on a satisfactory RICS Level 2 Home Survey, a valuation acceptable to Cedar & Crown, and searches revealing no adverse matter that materially affects value, use or mortgageability. The buyers will arrange the survey within five working days after access is authorised and will share material defects in good faith, while retaining the right to renegotiate or withdraw before exchange.

## 4. Evidence, records and safeguards

Because the flat is leasehold, the buyers require confirmation that the lease has at least 96 years unexpired on 1 October 2031, that ground rent is £250 per year with no doubling clause, and that the last three years' certified service-charge accounts are supplied. The seller must disclose the current service charge of £2,184 per year, reserve fund balance of £18,600, planned major works and any section 20 consultation.

## 5. Review, escalation and outcome

The management pack should include the lease, insurance schedule, fire-risk assessment, asbestos information, building regulations records, accounts, notices, planned works and details of any arrears or disputes. Elizabeth is asked to pay the managing agent's £285 pack fee, obtain a clear service-charge statement and confirm that the flat will be vacant, clean and free of belongings at completion, except for the listed kitchen appliances.

## 6. Reservations and practical protections

Subject to receiving a complete draft contract and management pack, Tom and Sarah propose exchange within eight weeks after 1 October 2031 and completion two weeks after exchange, with the target completion date of 10 December 2031 if those dates are achieved. They will instruct searches immediately, provide identification and proof of funds, and coordinate access for the survey without giving the seller permission to treat the offer as exchanged.

## 7. England and Wales law and completion

This completed fictional offer is governed by England and Wales law and expires at 5:00 pm on 15 October 2031 unless extended in writing. It is not a guarantee that finance or a satisfactory survey will be obtained, and the buyers reserve all rights arising from replies, title, lease, survey and searches. The parties will keep this letter, the offer confirmation, the mortgage decision, the survey and all leasehold information with the eventual contract papers.
