# GRANT AGREEMENT

Parties: Westshire Community Foundation and Eastfield Food Co-operative
## 1. Parties and purpose
Westshire Community Foundation (Registered Charity No. 1192047), 10 Cathedral Yard, Exeter EX1 1HJ (Funder), awards Eastfield Food Co-operative Limited (Company No. 14321890), 2 Mill Street, Exeter EX2 4LA (Recipient), a restricted grant of £42,000 for the Eastfield Community Pantry Project.
## 2. Scope, price and subject
The grant is paid £21,000 after signed acceptance and £21,000 after the Funder approves the procurement plan. It may fund pantry rent, refrigeration, volunteer training and food-distribution software between 1 November 2029 and 31 October 2030; it may not fund political campaigning, alcohol, fines, dividends or expenditure outside the approved budget.
## 3. Operating duties
The Recipient will serve at least 500 households, maintain an equality and safeguarding policy, use volunteers safely and achieve the quarterly milestones in Schedule 1. It must notify the Funder before a material budget change, keep grant funds in a separate ledger and obtain value-for-money quotes for purchases over £2,000.
## 4. Rights, records and compliance
Quarterly reports state households reached, outcomes, incidents, expenditure and match funding; a final report and independent financial statement are due within 60 days of the end date. The Funder may inspect records on reasonable notice and retains audit rights for six years. Publicity uses the Funder's logo only with prior approval.
## 5. Term, ending and remedies
The Recipient owns its project materials but grants the Funder a royalty-free licence to use non-personal photographs and outcome data for charitable reporting. Personal data is handled under UK GDPR, with consent or another lawful basis for beneficiary stories and prompt reporting of a serious safeguarding or data incident.
## 6. Liability and reservations
The Funder may suspend payment or require repayment of the unspent or misapplied amount for fraud, serious breach, insolvency or failure to deliver after a 20-Business-Day remedy period. Repayment is proportionate and does not prevent either party reporting crime or safeguarding concerns.
## 7. Governing law and signatures
England and Wales law governs and its courts have exclusive jurisdiction. Funder director Priya Nair and Recipient chair Lewis Bennett sign on 16 October 2029. This grant is not a partnership, employment relationship or promise of future funding, and mandatory charity law duties continue to apply.
