# GRANT FUNDING AGREEMENT

Date: 1 June 2038

Parties: GreenVale Community Energy CIC and Westshire Foundation

## 1. Purpose and permitted expenditure

GreenVale must apply the grant only to the design, procurement and installation of solar panels at the three named Westshire community halls. It must not use the money for unrelated overheads, distributions or a different site without written consent.

## 2. Payment conditions

The Foundation will pay £60,000 when this agreement is signed. It will pay the remaining £60,000 after receiving satisfactory procurement records and evidence of planning consent or confirmation that no consent is required.

## 3. Delivery and reporting

GreenVale must complete the project by 31 May 2039, keep auditable financial and procurement records, and provide quarterly milestone reports. It must promptly report delay, cost pressure, safeguarding concern or any material change.

## 4. Changes, return and suspension

A material change requires the Foundation's prior written consent. GreenVale must return unspent funds and any amount not used for the permitted purpose. After notice and a reasonable opportunity to respond, the Foundation may suspend payment for serious breach.

## 5. Law, dispute and execution

This agreement is governed by the law of England and Wales. The parties will first refer a dispute to their senior representatives and, if unresolved, to the courts of England and Wales. Each party confirms authority to sign; neither promises that planning permission will be granted.
