# EXAMPLE: GROUND LEASE AGREEMENT

Parties: Westmere Land Holdings Limited and Cedar Community Housing Limited
## 1. Parties and subject matter
Westmere Land Holdings Limited grants Cedar Community Housing Limited a 99-year lease of the development land at 6 Meadow Fields, York YO24 1NL, title YK112233, shown on Plan G. The lease is subject to the registered title, rights, restrictions, superior lease and lender consent.
## 2. Financial terms
Cedar pays a premium of £210,000 on completion and annual ground rent of £1,000, reviewed every 10 years by CPI subject to a floor of £1,000 and any lawful cap. Rent is payable half-yearly in advance and VAT applies only if lawfully chargeable.
## 3. Use and obligations
The permitted use is 14 affordable residential units and communal landscaping. Cedar must obtain planning and building approvals, construct to the agreed specification, maintain the buildings and not use or develop the land outside the approved scheme.
## 4. Consent and management
Cedar insures the buildings for reinstatement value, complies with fire, building, environmental, housing and equality duties and permits Westmere reasonable inspections. Westmere retains rights of access, services and development reserved in Schedule 2.
## 5. Ending and remedies
Cedar may not assign, charge, underlet or materially alter the lease without the consent required by the lease. A transfer must preserve repairing, insurance, rent and affordable-housing obligations and may require an authorised guarantee agreement.
## 6. Legal reservations
On expiry or lawful forfeiture Cedar removes only items the lease requires, hands over buildings in the stated condition and pays sums due. Relief, forfeiture and statutory protections apply; Westmere cannot use self-help to recover possession.
## 7. Signatures
The parties will execute a registrable lease, complete Land Registry and SDLT filings and check VAT, grant funding, lender and superior-title consent. This worked example is not itself a registrable disposition. Westmere: ____________________ Cedar: ____________________.
