## Worked status and parties

This fictional a paid social-media campaign for Hearth & Field Retail Limited is dated 9 April 2027. It is an illustrative England and Wales document, not legal advice. The parties are Hearth & Field Retail Limited and Priya Nair. Mandatory employment, company, consumer, tax, data-protection and health-and-safety rules prevail over any inconsistent wording.

## 1. Appointment and scope

The parties appoint one another only for the arrangement described here. The agreed scope is a paid social-media campaign for hearth & field retail limited. Each party must provide the cooperation, access and information reasonably needed, and neither may bind the other without written authority.

## 2. Operative terms

Priya will publish two reels and four stories between 12 and 26 April 2027, each showing the Hearth & Field product in the approved campaign setting.

The fee is £7,500 plus VAT in two instalments, with the second instalment payable after delivery of platform analytics and compliant invoices.

## 3. Payment, property and records

The agreed value or remuneration is £7,500, subject to the terms above and VAT where lawfully chargeable. It is not an invoice-based consultancy fee unless this document expressly says so. All supplied equipment, records and credentials remain with their owner, are used only for the agreed purpose and must be returned when required. Each party keeps accurate records and pays its own tax.

## 4. Conduct, data and intellectual property

Every paid post must be clearly labelled as an advertisement under ASA and CAP Code guidance; Priya must not make unsubstantiated health or environmental claims.

Hearth & Field receives a six-month UK licence to repost the approved content. Priya keeps ownership of her pre-existing image and does not endorse a competing grocer for 30 days.

Personal data is processed securely and only for a lawful purpose under UK GDPR. Pre-existing intellectual property remains with its owner; rights in newly created material follow the specific allocation above. Confidential information may be disclosed only to people who need to know and are bound by equivalent duties.

## 5. Duration, ending and remedies

The arrangement starts on 9 April 2027 and continues for the period stated in the operative terms. A party may end it for an unremedied material breach, serious safety or compliance risk, or insolvency, subject to any mandatory notice and consultation. Accrued pay, confidentiality, data, intellectual property and record duties survive. Nothing excludes liability for fraud, death or personal injury caused by negligence, or a liability that law will not permit to be excluded.

## 6. Governing law and signing

The parties will first meet within 10 Business Days to resolve a dispute, without preventing urgent relief. This document is governed by the law of England and Wales and its courts have exclusive jurisdiction. It is the complete written record; changes must be signed in writing.
