# INVESTMENT ADVISORY AGREEMENT

Parties: Silverfern Wealth Advisers Limited and Priya Desai

## 1. Purpose and parties

Silverfern Wealth Advisers Limited, FCA-authorised under FRN 912345, will provide Priya Desai with non-discretionary investment advice. Priya remains the decision-maker and the firm will not hold her money, execute an order without instruction or promise a return.

## 2. Facts, scope and terms

The initial mandate is a £240,000 balanced-growth portfolio with a ten-year horizon, UK and global equities, gilts, investment-grade bonds, UCITS funds and cash. Derivatives, leverage and unlisted investments are outside scope unless a new written mandate and assessment are completed.

## 3. Process and responsibilities

Silverfern will assess Priya's knowledge, experience, objectives, financial situation, risk tolerance and capacity for loss under applicable FCA COBS suitability requirements. A recommendation is made only after the assessment and is reviewed at least annually or after a material change.

## 4. Evidence, records and safeguards

The initial advice fee is £1,800 and the ongoing adviser charge is 0.65% per year, calculated quarterly on portfolio value. Silverfern gives ex-ante and annual ex-post cost disclosures, receives no third-party commission and identifies platform and fund charges separately.

## 5. Review, escalation and outcome

Priya acknowledges market, inflation, liquidity, concentration and currency risk; past performance is not a reliable guide and capital can fall. She may decline a recommendation, request clarification or complain without losing access to her records. Conflicts are recorded and managed under the firm's policy.

## 6. Reservations and practical protections

The firm sends suitability reports and periodic reviews securely, keeps client records and explains any change in service. A complaint follows the firm's procedure and may be referred to the Financial Ombudsman Service where eligible; FCA authorisation does not guarantee investment performance or FOS jurisdiction.

## 7. England and Wales law and completion

England and Wales law applies. The agreement is signed on 27 July 2031; notices may be delivered by post or secure email as alternative permitted methods. Priya should obtain independent tax advice where needed, and no advice is given on an unassessed product.
