# ADVERTISING AND SPONSORSHIP AGREEMENT（ADVERTISING・SPONSORSHIP契約）

当事者： North Coast Radio LimitedおよびGreenline Bicycles Limited
## 1. 当事者と目的
2 Harbour Street, Newcastle upon Tyne NE1 2ABのNorth Coast Radio Limited（Company No. 08744121、Station）は、70 Coast Road, Sunderland SR1 3PLのGreenline Bicycles Limited（Company No. 11900342、Sponsor）へ、2030年6月1日から8月24日までSaturday Cycle Hour programmeの12週間sponsorshipをsellします。
## 2. 対象・対価・範囲
packageは10秒のopening credit、programmeごと30秒spot 4本、presenter-read message 1本、programme pageのbannerをSchedule 1のinventoryに従い提供します。feeはVAT別18,000ポンドで、signing時9,000、7月1日9,000を払います。
## 3. 実施上の義務
Greenlineはdeadlineまでにsubstantiated copyとapproved trademarkを供給します。North Coastはbroadcast scheduleをcontrolし、unsafe、unlawful、misleading copyをrejectできます。その理由を示しreasonable replacement opportunityを与えます。audienceをguaranteeしませんが、monthly transmission logとaggregate listening figureを提供します。
## 4. 権利・記録・法令遵守
Stationはrelevant musicとbroadcast permissionを取得し、Greenlineはproduct、price、environmental claimが正確だとwarrantします。双方はASA/CAP Code、consumer-protection、privacy lawを守ります。necessary permissionなしにchild voiceまたはpersonal dataをadvertに使いません。
## 5. 期間・終了・救済
Greenlineにはprogramme中bicycleとaccessoryのcategory exclusivityがありますが、Schedule 2でdiscloseしたStationのexisting public-service partnerは除きます。approved copyを超えてStationがsafety・performance claimをendorseするとimplyできません。Stationはeditorially independentなcycling coverageをできます。
## 6. 責任と留保
10 Business Days以内にcureされないmaterial breach、insolvency、regulatory prohibitionでterminateできます。cancel時Greenlineはdelivered spotとcommitted production costを払い、Stationはunused prepaid inventoryをrefundします。双方はunlawful useをstopし、confidential materialをreturnします。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。Greenlineのdirector Alice MorganとStationのcommercial director James Fieldは2030年5月10日に署名します。sale、editorial endorsement、特定audienceをguaranteeせず、mandatory advertising rightをlimitしません。
