# ARTIST COMMISSION AGREEMENT（ARTIST COMMISSION契約）

## 1. 当事者と目的
40 Quay Street, Bristol BS1 4QAのRiverside Arts CIC（Company No. 11782041）は、12 Field View, Bath BA2 8LTのartist Imogen Coleに、同所のcommunity hallへ9メートルのmuralをdesign・paintするcommissionをします。
## 2. 対象・対価・範囲
approved conceptはSchedule 1のpaletteとmock-upによるRiver Birdsです。feeはVAT別14,400ポンドで、signature時4,320、wall preparation時5,040、practical completion時5,040を払います。materialは1,200ポンドまで含み、conceptまたはsiteのchangeはwritten variationです。
## 3. 実施上の義務
Imogenはdesign、primer、paint、assistant 2人を用意し、2029年11月4日から15日まで07:00–18:00にworkし、通常のpaint spillをmake goodします。Riversideはsafe scaffold、power、access、permission、clean wallを提供し、安全riskを作る方法でdirectしません。
## 4. 権利・記録・法令遵守
copyrightはImogenが保持し、Riversideへ、hallでdisplayし、non-commercial report、fundraising、press coverageにcredit付きでreproduceするperpetual、worldwide、non-exclusive licenceをgrantします。Riversideはconsentなしにmerchandiseをsellまたはworkをalterできません。repairのreasonable adaptationについてのみImogenはconsentし、moral-right assertionをwaiveします。
## 5. 期間・終了・救済
Imogenはoriginal workが他人のrightをknowingly infringeせず、assistant contributionのpermissionがあるとwarrantします。Riversideはappropriate creditでmuralをphotographできます。双方はhealth and safety、public accessのsafeguarding、data protectionに従い、lawful basisなしにvisitor imageをrecordしません。
## 6. 責任と留保
Riversideはapproved conceptからmaterial departureがあればrejectし、10 Business Daysのremedy期間を与えます。いずれもuncured material breachでterminateでき、accepted workとnon-cancellable materialを精算します。muralはunauthorised removalからprotectされ、既にgrantしたlicenceはsurviveします。
## 7. 準拠法と署名
本契約はEngland and Walesのlawに準拠し、そのcourtsをexclusive jurisdictionとします。ImogenとRiversideのchair Jonah Lewisは2029年10月9日に署名します。death、negligenceによるpersonal injury、fraud、statutory rightはexcludeしません。
