# COMMERCIAL KITCHEN LICENCE（COMMERCIAL KITCHEN LICENCE）

## 1. 当事者と目的
5 Foundry Street, Manchester M1 2ABのFood Hub Manchester Limited（Company No. 09881220、Licensor）は、18 Dale Road, Stockport SK1 3HTのNorthern Spoon Catering Limited（Company No. 12651004、Licensee）へ、同所のregistered commercial kitchenのBay 2をuseするpersonal licenceをgrantします。
## 2. 対象・対価・範囲
これはcontractual permissionであり、leaseまたはtenancyではなく、exclusive possessionを与えません。Northern Spoonは平日06:00–14:00にoffice-lunch business用のchilled mealをprepareできます。sleep、office registration、sub-license、hazardous goods保管、unapproved userの入場はできません。
## 3. 実施上の義務
monthly feeはVAT別1,850ポンドで、first Business Dayにin advanceで払い、booked 40時間、ordinary gas・electricity・waterを含みます。additional hourはVAT別32ポンド、damageとcleaning用depositは1,000ポンドです。Food Hubはinventoryのoven、refrigeration、extractionを提供し、containerとlabelはNorthern Spoonが用意します。
## 4. 権利・記録・法令遵守
Northern Spoonはfood-business registrationを維持し、Food Standards Agency hygiene guidance、HACCP、allergen control、temperature log、COSHH instruction、waste segregationに従います。各session後にstationをclean・sanitiseし、defectを直ちにreportし、2 millionポンドのpublic/product-liability insuranceを持ちます。
## 5. 期間・終了・救済
Food Hubはinspection、maintenance、emergencyのためentryでき、booking calendarを管理します。building、fixed equipment、fire systemをmaintainしますが、uninterrupted availabilityはwarrantしません。各当事者はbusiness recordを6年間保持し、food-safety incidentをappropriate authorityと他方へpromptly reportします。
## 6. 責任と留保
いずれも30日のwritten noticeでendできます。Food Hubはnon-payment、contamination、unsafe conduct、registration lossならimmediately accessをsuspendできます。終了時、Northern Spoonはgoodsをremoveし、access cardをreturnし、evidenceのあるcleaning・repair costを払い、deposit残額を14日以内に受けます。
## 7. 準拠法と署名
本licenceはEngland and Wales lawに準拠し、courts of England and Walesをexclusive jurisdictionとします。Director Maya PatelとTom Hughesは2029年10月1日に署名します。planning、environmental-health、fire、food-safety approvalは別個のlegal requirementとして残ります。
