# SALES COMMISSION AGREEMENT（SALES COMMISSION AGREEMENT）

## 1. 目的と当事者

Redbrook Instruments LimitedはLauren EvansをUK sales managerとしてemployment contractでemployします。本commission scheduleはcontractをsupplementしますが、Laurenをself-employed commercial agentとしてappointせず、事実と異なるlabelを使いません。

## 2. 事実、範囲および条件

commissionはSchedule 1のnew customer contractについて、Redbrookがorderをacceptしcustomer paymentがclearedしたときにearnします。rateはVAT、refund、credit note、separately identified pass-through costを除くnet revenueの8%で、renewalとlisted existing customer saleはexcludeします。

## 3. 手続と責任

Laurenは翌月20日までにitemised statementを受け、PAYEとNational Insuranceを控除してpayrollで支払われます。customerが6か月以内にcancelするかdebtがwrite offされた場合、notice後にproportionate clawbackをset-offできますが、undisputed commissionはon timeにpayします。

## 4. 証拠、記録および保護措置

Laurenはopportunityをaccurately recordし、misrepresentationを避け、conflictをdiscloseします。Redbrookはcalculationをauditでき、order、payment、cancellation recordをretainします。territory外またはtermination後のsaleは、pipeline ruleがapplyする場合を除きcommissionをearnしません。

## 5. review、escalationおよびoutcome

termination前にacceptedされ90日以内にpaidされたcontractにはcommissionをpayします。partiesはCommercial Agents Regulations 1993をconsiderし、このemployee relationshipには適用しない意図をrecordしますが、mandatory statutory rightがこのdescriptionに優先します。

## 6. 留保と実務上の保護

schemeはfuture targetについてdiscretionaryですが、正しくcalculatedされたearned commissionについてはdiscretionaryではありません。Redbrookは30日前のwritten noticeでprospectiveにrateをamendでき、material adverse changeについてconsultしますが、accrued paymentをretrospectively消せません。

## 7. England and Walesの法と完了

本scheduleは23 July 2031にEngland and Wales employment lawの下でsignします。hand delivery、post、emailを別個のpermitted notice methodとし、Laurenはindependent adviceを得られます。unlawful deduction、discrimination、employment status rightをwaiveしません。
