# CONTENT CREATOR AND INFLUENCER AGREEMENT（CONTENT CREATOR契約）

## 1. 当事者と目的
72 New Street, Brighton BN1 4GQのBramble & Coast Skincare Limited（Company No. 14082216、Brand）は、6 Meadow View, Brighton BN2 8LEのOlivia Hart（Creator）に、fictional Sea Glass SPF campaignをcommissionします。
## 2. 対象・対価・範囲
Oliviaは2020年3月20日から4月10日までにInstagram Reel 3本、Story 6本、product photograph 1枚をdeliverし、approved briefに従いproductをgenuinely useします。feeはVAT別2,400ポンドで、signing時1,200、final approved post後14日以内1,200を払います。
## 3. 実施上の義務
Brambleは各draftを一度reviewし、3 Business Days以内にlegal、factual、brand-safety correctionを求められます。misleading claimやeditorial authenticityの放棄を要求できません。reasonable revision 2 roundを含み、changed briefはpaid variationです。
## 4. 権利・記録・法令遵守
copyrightはOliviaに残り、Brambleへ6か月・UK・non-exclusive licenceをgrantしてowned social channelとwebsiteへcredit付きでrepostできます。paid advertising、whitelisting、edit、worldwide use、6か月後のuseはseparate feeとwritten licenceが必要です。Oliviaはmusic、location、third-party imageをclearします。
## 5. 期間・終了・救済
sponsored postごとにplatform paid-partnership labelと、postをexpandせず見えるclearな#ad等disclosureを使い、ASA/CAP Code guidanceに従います。medical resultをclaimせず、material conditionをomitしません。Brambleはsubstantiated product informationを供給し、product safetyを担います。
## 6. 責任と留保
Oliviaはfinal post後30日間competing SPF skincare brandをpromoteしませんが、unrelated beauty productは除きます。material breachは5 Business Daysのremedy後terminateできます。Brambleはaccepted workを払い、Oliviaはlaw上必要または合意した場合のみpostをremoveします。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。OliviaとBrambleのmarketing manager Samir Khanは2030年3月12日に署名します。fraud、negligenceによるdeath・personal injury、mandatory advertising・consumer lawはlimitしません。
