# ASSIGNMENT OF CONTRACT RIGHTS（契約上の権利のASSIGNMENT）

当事者： Wessex Components Limited, Beacon Mobility LimitedおよびElm Finance LLP
## 1. 当事者と目的
7 Avon Road, Bristol BS2 0SPのWessex Components Limited（Company No. 08650114、Assignor）は、Supply Agreementのassigned rightを、3 Temple Row, Birmingham B2 5DPのElm Finance LLP（OC447812、Assignee）へassignします。contractの相手方Beacon Mobility Limited（Company No. 06211877、80 Victoria Street, Coventry CV1 3PJ）はCustomerです。
## 2. 対象・対価・範囲
assigned rightは、月18,750ポンドのinvoice、late-payment interest、enforcement costを受けるrightと、collection administrationのためdelivery forecastを使うnon-exclusive licenceです。assignmentは2029年7月1日にeffectiveとなり、その日以後に生じるrightだけが対象です。以前のreceivableはWessexに残ります。
## 3. 実施上の義務
Elmはsigning時にsame-day BACSで210,000ポンドをWessexへ払います。Wessexはoriginal agreement、schedule、invoice、correspondenceを渡し、これらのrightを以前にassignまたはchargeしていないとwarrantします。Beaconのwritten consentを添付しますが、他のtransferへのconsentはimplyされません。
## 4. 権利・記録・法令遵守
manufacturing、delivery、warrantyその他すべてのobligationはWessexが負い続けます。Elmはsupplierになったと称したり、Beaconのbargainを変更したりできません。obligationをtransferし、Wessexをreleaseし、Elmをsubstituteする場合は、3者が署名する別個のdeed of novationが必要です。
## 5. 期間・終了・救済
Wessexは2029年6月18日にsigned-for postとemailでBeaconへnotifyし、Beaconはreceipt後のfuture invoiceだけをElmの指定accountへ払います。Elmはcollection recordを保持し、quarterly statementを出します。Wessexは10 Business Days前のnoticeでrelevant recordをinspectできます。personal dataはUK GDPRのもとnecessaryな範囲でのみtransferします。
## 6. 責任と留保
material breach、insolvency、unlawful onward transferがあれば、non-defaulting partyはinjunction、damages、assignment terminationを求められます。effective date後のcollection riskはElmが負いますが、pre-existing defence、prior charge、warranty breachによるlossはWessexがElmをindemnifyします。
## 7. 準拠法と署名
本deedはEngland and Walesのlawに準拠し、そのcourtsをexclusive jurisdictionとします。WessexとElmはwitnessの前でdeedとしてexecuteし、Beaconのauthorised directorは2029年6月17日にattached consentへ署名します。本documentだけでcontractのburdenが移ることはありません。
