# CONTRACTOR DAY RATE AGREEMENT（業務委託契約）

当事者： Larkspur Digital LtdおよびMorgan Shaw Consulting Ltd
## 1. 当事者と目的
Company No. 14322018のLarkspur Digital Ltdは、Company No. 11980421のMorgan Shaw Consulting Ltdを、2029年4月8日から10月31日までProject Meridianのdata-migration workstreamにengageします。Morgan個人でなくcompanyがindependent businessとしてcontractし、自らprofessional insuranceとequipmentを用意します。
## 2. 対象・対価・範囲
deliverableは4月19日のmigration plan、5月31日のtested script、2回のrehearsal、signed completion reportです。day rateはVAT別720ポンド（7時間）で、approved timesheetによるfortnightly invoice、30日以内paymentです。pre-approved rail、hotel、reasonable security-screening costはreceiptでreimburseします。
## 3. 実施上の義務
Larkspurはtax上のemployment statusをdetermineし、記録したfactに基づきoutside IR35のstatus determination statementを発行しました。Morganはwork方法をcontrolし、rectification riskを負い、future workのaccept義務はありません。working practiceがmaterially変われば当事者はdetermineし直します。
## 4. 法令・記録・管理
Morganはsuitably skilled substituteをLarkspurのreasonable approvalで提供でき、security・confidentiality checkを受けます。Larkspurはreasonable groundなく拒絶できません。本assignment以外のworkをoffer・acceptするobligationはなく、Larkspurはday-to-day employment supervisionでなくdeliverable acceptanceとsite securityをcontrolします。
## 5. 期間・終了・救済
Project Meridian専用のforeground IPはcreation時にLarkspurへassignし、future rightのpresent assignmentも行います。Morganはbackground toolをretainし、deliverable利用に必要なperpetual licenceを与えます。Morganはdocumented instructionだけでpersonal dataを扱い、UK GDPR、security、incident reportingに従います。
## 6. 責任と留保
各当事者は15 business days noticeで終了でき、serious breach、insolvency、security failure、required qualification喪失ならimmediate terminationできます。Larkspurはexitまでのaccepted workのundisputed feeを支払い、Morganはcredential、data、equipmentを返します。restrictionはnamed project staffの6か月non-solicitationに限ります。
## 7. 準拠法と署名
イングランド法を適用し、courts of England and Walesが管轄します。Larkspurのprocurement director Eva GreenとMorganのdirector Morgan Shawが2029年4月8日に署名します。contractorというlabelだけでは決まらず、tribunalまたはHMRCはreal relationshipからstatusを判断できます。
