# COPYRIGHT ASSIGNMENT AGREEMENT（著作権譲渡契約）

## 1. 当事者と目的
32 Willow Street, London N16 8QRのAmira Patelは、Schedule 1の12 illustrationとcharacter design（“Night Garden” campaign用）に関する全rightsをCompany No. 14189220のFallow Studio Ltdへassignします。assignmentはdeliveryで効力を生じ、UKその他全territory、statutory term全期間のcopyrightを含みます。
## 2. 対象・対価・範囲
assigned rightはreproduction、distribution、communication to public、adaptation、merchandising、sublicensing、電子媒体とfuture mediaのrightを含みます。Amiraはfuture copyrightを発生時にassignし、recordal・enforcementに合理的に必要な書類へ署名します。Fallowはsupplied physical fileを所有し、Amiraにはportfolio right以外licenceがありません。
## 3. 実施上の義務
対価はVATが適用されれば加算する16,800ポンドで、signing時8,400ポンド、editable file delivery時8,400ポンドです。Amiraはworkを自作し、assign・licenceしておらず、unlicensed third-party materialを使わず、他人のrightをknowingly infringeしないとwarrantします。
## 4. 法令・記録・管理
Amiraは法が許す範囲で、editing、cropping、colour change、textとのcombination、nameなしのuseにirrevocably consentし、その範囲でmoral rightをwaiveまたはassertしないことに同意します。launch後、confidential campaign informationなしにfinal published workをprofessional portfolioへdisplayできます。
## 5. 期間・終了・救済
Fallowはcommercially practicableならcreditしますが、placementを約束しません。delivery後のapprovalとbrand clearanceはFallowが負い、Amiraはpayment前にstock、AI-generated、third-party elementをdiscloseします。approved third-party licenceはtransferまたはreplaceし、合意されたcommercial useをFallowに与えます。
## 6. 責任と留保
6年間Amiraはclaimにco-operateし、undisclosed title defectをcostでcorrectしますが、aggregate liabilityは16,800ポンドをcapとし、fraud・deliberate infringementを除きます。各当事者はinjunction・specific performanceを求められます。unrelated pre-existing workやadministrationを超えるpersonal dataはtransferしません。
## 7. 準拠法と署名
イングランド法を適用し、courts of England and Walesをexclusive jurisdictionとします。Fallowのcreative director Theo GrantとAmiraが2029年5月22日に署名します。当事者はCopyright, Designs and Patents Act 1988に基づくassignmentを意図し、chain of titleとmoral-right consentをlegal adviceで確認すべきと認めます。
