# DEBT ASSIGNMENT AGREEMENT（DEBT ASSIGNMENT契約）

当事者： Hawthorn Office Supplies Limited, Lumen Recoveries LimitedおよびDaniel Price
## 1. 当事者と目的
2 Market Lane, Nottingham NG1 2HXのHawthorn Office Supplies Limited（Company No. 05541209、Assignor）は、44 Cedar Close, Derby DE1 4QWのDaniel Price（Debtor）に対するdebt claimを、19 Regent Street, Leicester LE1 5SPのLumen Recoveries Limited（Company No. 12100981、Assignee）へsellし、absolutely assignします。
## 2. 対象・対価・範囲
debtは2028 trade accountのinvoice HS-4412からHS-4420に関する12,480.60ポンドで、due dateは2029年4月30日です。contractual interestとreasonable recovery costも含みます。Lumenは2029年7月2日にBACSで8,900ポンドを払い、priceはDebtorのpaymentをguaranteeせず、collection riskはcompletionで移ります。
## 3. 実施上の義務
Hawthornはdebtが存在し、unpaidで、compromise、assignment、chargeがなく、defence、set-off、counterclaimを知らないとwarrantします。collectabilityはwarrantしません。completion後に受領したpaymentまたはcorrespondenceは速やかにLumenへ渡します。
## 4. 権利・記録・法令遵守
Hawthornは5 Business Days以内に、Law of Property Act 1925 section 136に基づくnotice of assignmentをfirst-classおよびrecorded postでDanielへ送り、emailをcopyとして送ります。noticeにはLumenのbank detailsを記し、account変更は独自にverifyするよう警告します。notice後のcommunicationはLumenが扱います。
## 5. 期間・終了・救済
当事者はassignment、account administration、debt recoveryのためinvoice、address、contact informationをUK GDPRに従いlawfully shareします。Lumenはtrained staffにaccessを制限し、lawful basisをrecordし、proportionateなcontactを行い、適用されるFCA ruleとconsumer-credit protectionを守ります。
## 6. 責任と留保
pre-completion payment、invalid debt、prior assignment、warranty breachによるlossをHawthornがLumenへindemnifyします。Lumenはinterest、damages、recoveriesのaccountを求められますが、harassment、misleading statement、legally dueでないsumのrecoveryは認められません。
## 7. 準拠法と署名
本契約はEngland and Walesのlawに準拠し、courts of England and Walesをexclusive jurisdictionとします。Hawthornのdirector Megan WoodとLumenのdirector Tariq Malikは2029年7月1日に署名します。Danielのsignatureは不要ですが、clear noticeとstatutory debtor protectionを受けます。
