# 免責・債務解除証書（記入例）

## 1. 作成者と対象
90 King Street, London EC2V 8BBのFenwick Bank plc（Company No. 00481922）は、7 Orchard Rise, Reading RG1 6PTのMarcus Bellを、Bell & Shore Kitchens Ltdへの420,000ポンドfacilityを担保した2025年4月12日付personal guaranteeからreleaseします。
## 2. 権利または免責の付与
releaseは、Fenwickが420,000ポンドのprincipal、accrued interest、合意済みenforcement costをcleared fundsで受領し、本deedをdeliverした時に効力を生じます。deed日までのguaranteeとfacilityに基づくliabilityについてfull and finalです。
## 3. 対価・確認事項
fraud、deliberate misrepresentation、本deedから生じるliability、valid reversalまたはclawbackの対象となる受領金はreleaseされません。Fenwickはdelivery時点で、released guaranteeに基づくMarcusへのpending claimがないと確認します。
## 4. 継続する義務
Fenwickはsolicitorに、2025年4月12日付company debentureについて、可能な場合は10営業日以内に適切なCompanies House MR04をfileさせます。Marcusのoriginal guarantee acknowledgementは21日以内に返します。Land Registryのdischargeは別のlender processが必要です。
## 5. 期限・終了・救済
Marcusは、deed日までのguarantee enforcementから生じるclaimについてFenwickをcounter-releaseしますが、fraudとdeliberate misrepresentationは除きます。各当事者は、本deedに別段の定めがない限り、自らのtax、legal advice、costを負担します。
## 6. 準拠法と留保
本deedはBell & Shore Kitchens Ltdをreleaseせず、loanの継続義務も、本deedに特定されないsecurityもdischargeしません。イングランド法を適用し、courts of England and Walesをexclusive jurisdictionとします。口頭説明でreleaseを変更しません。
## 7. 証書としての執行
Fenwickは2名のauthorised signatoryで執行します。Marcusはindividualとしてwitness Sophie Grantの面前で署名し、Sophieは住所を記録して署名します。各当事者は2029年3月20日にimmediate deliveryを意図し、Marcusはindependent legal adviceを得る機会があったと確認します。
