# E-COMMERCE MARKETPLACE SELLER AGREEMENT（MARKETPLACE SELLER契約）

## 1. 当事者と目的
1 Exchange Square, Birmingham B1 1AAのMarketHarbour UK Limited（Company No. 14560112、Platform）は、9 Mill Lane, Worcester WR1 2NEのOak & Ember Homeware Limited（Company No. 13822017、Seller）を、approved homeware productをMarketHarbour marketplaceでlist・sellするSellerとしてappointします。
## 2. 対象・対価・範囲
Sellerはprice、VAT status、dimension、safety information、delivery promise、lawfully使えるimageを含む正確なlistingを作ります。Platform feeはgross order valueの12% commissionとcompleted orderごと0.35ポンドです。Platformは毎週水曜にcleared fundをremitし、refund、chargeback、2,000ポンドのrolling reserveをreserveします。
## 3. 実施上の義務
SellerはUK product-safety、consumer、distance-selling、packaging、trademark、advertising lawを守ります。counterfeit、unsafe electrical goods、weapon、recalled product、misleading health claim、third-party rightをinfringeするgoodsは禁止です。Sellerがfulfilment、customer service、statutory refund、conformityのlegal guaranteeを担います。
## 4. 権利・記録・法令遵守
Platformはpayment processing、search、account toolを提供しますが、seller、manufacturer、importerにはなりません。policy違反のlistingをremoveし、compliance evidenceを求め、proportionateにfundをholdし、customerとcommunicateできます。Sellerはsafety recallまたはregulatory requestへ24時間以内にrespondします。
## 5. 期間・終了・救済
双方はUK GDPRのもとorder、fraud prevention、support、complianceのためcustomer・seller dataをprocessします。product claim、IP infringement、tax、unlawful listingはSellerがPlatformをindemnifyし、Platform自身のfraudまたはdeliberate misuseはPlatformがSellerをindemnifyします。双方はriskにappropriateなinsuranceを維持します。
## 6. 責任と留保
いずれも30日のnoticeでendできます。Platformはfraud、serious safety risk、repeated breach、insolvencyならimmediately suspendでき、lawfulな範囲でreasonを示します。open order、refund、chargeback、record retention、accrued commissionはsurviveし、Sellerはlawful listing dataをexportできます。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。Director Yasmin ShahとRobert Ellisは2030年2月18日に署名します。これはbusiness-to-business契約ですが、marketplace buyerのmandatory consumer rightをcontract outできません。
