# EQUITY INVESTMENT AGREEMENT（EQUITY INVESTMENT AGREEMENT）

## 1. 目的と当事者
Lumen Peak Ventures LLPはNorthshore Bioanalytics Limitedへ£1,200,000を£4,800,000 pre-money valuationでinvestします。completionでcompanyは額面£0.01のfully paid ordinary shareを240,000株allotし、investorはenlarged ordinary share capitalの20%を持ちます。
## 2. 事実、範囲および条件
founderはbusiness plan、account、IP schedule、material contract、regulatory status、litigationをdisclosure letterでdiscloseします。company warrantyはknowledge、materiality、time、monetary capでlimitしますが、fraudとdeliberate concealmentはlimit外です。
## 3. 手続と責任
companyはrequired shareholder authorityを得て、allotmentのstatutory pre-emption rightをcomplyまたはvalidly disapplyしました。existing shareholderへ合意noticeとwaiver opportunityを与え、completionはcorporate approval、KYC、material adverse breach不存在、disclosure letter deliveryをconditionとします。
## 4. 証拠、記録および保護措置
completion時、investorはcleared fundsをpayし、boardはsharesをallotし、register of membersをupdateし、share certificateをissueし、Companies Houseへallotment returnをfileし、必要ならPSC informationをupdateします。subscription letter、board minutes、amended investment-rights scheduleをsignします。
## 5. review、escalationおよびoutcome
investorは24か月information right、board-observer right、指定reserved matterへのconsentを持ちます。anti-dilutionはdown-round用broad-based weighted-average adjustmentで、customary exclusionがあり、guaranteed price・returnではなくCompanies Act requirementをoverrideしません。
## 6. 留保と実務上の保護
founderはexitをpromiseせず、articles、shareholders' agreement、directors' dutyに従ってmanagementを続けます。confidentiality、sanctions、data protection、England and Wales dispute processを適用します。unissued optionはauthorityとstatutory pre-emption analysisの対象です。
## 7. England and Walesの法と完了
England and Wales lawを適用します。hand、post、investment emailを明確なreceipt rule付きの別個permit methodとします。Lumen、Northshore、各founderは10 February 2031にsignし、listed deliverable交換時だけcompletionします。
