# GRANT AGREEMENT（GRANT契約）

当事者： Westshire Community FoundationおよびEastfield Food Co-operative
## 1. 当事者と目的
10 Cathedral Yard, Exeter EX1 1HJのWestshire Community Foundation（Registered Charity No. 1192047、Funder）は、2 Mill Street, Exeter EX2 4LAのEastfield Food Co-operative Limited（Company No. 14321890、Recipient）へ、Eastfield Community Pantry Project用のrestricted grant 42,000ポンドをawardします。
## 2. 対象・対価・範囲
grantはsigned acceptance後21,000ポンド、Funderがprocurement planをapproveした後21,000ポンドです。2029年11月1日から2030年10月31日のpantry rent、refrigeration、volunteer training、food-distribution softwareに使えます。political campaign、alcohol、fine、dividend、approved budget外の支出には使えません。
## 3. 実施上の義務
Recipientは少なくとも500 householdへserviceし、equality・safeguarding policyを維持し、volunteerをsafeに扱い、Schedule 1のquarterly milestoneを達成します。material budget change前にFunderへnotifyし、separate ledgerでfundを管理し、2,000ポンド超のpurchaseではvalue-for-money quoteを取得します。
## 4. 権利・記録・法令遵守
quarterly reportにはhousehold、outcome、incident、expenditure、match fundingを記載し、final reportとindependent financial statementをend dateから60日以内に出します。Funderはreasonable noticeでrecordをinspectでき、6年間audit rightを持ちます。publicityでFunder logoを使うにはprior approvalが必要です。
## 5. 期間・終了・救済
project materialはRecipientが所有しますが、non-personal photographとoutcome dataをcharitable reportに使うroyalty-free licenceをFunderへgrantします。personal dataはUK GDPRで扱い、beneficiary storyにはconsentまたは他のlawful basisを用い、serious safeguarding・data incidentをpromptly reportします。
## 6. 責任と留保
fraud、serious breach、insolvency、20 Business Daysのremedy後もdeliveryしない場合、Funderはpaymentをsuspendし、unspentまたはmisapplied amountのrepaymentを求められます。repaymentはproportionateであり、crimeまたはsafeguarding concernのreportを妨げません。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。Funderのdirector Priya NairとRecipientのchair Lewis Bennettは2029年10月16日に署名します。本grantはpartnership、employment relationship、future fundingのpromiseではなく、mandatory charity law dutyは続きます。
