# HEALTHCARE SERVICES AGREEMENT（HEALTHCARE SERVICE契約）

## 1. 当事者と目的
CQC-registered、14 Lime Street, Liverpool L2 7PQのMersey Wellbeing Clinics Limited（Company No. 11556677）は、Northgate Employers Limitedのemployeeへclinicまたはsecure videoでoccupational-health assessmentとphysiotherapyを提供します。Northgateがserviceをpayしますが、employeeがpatientであり、clinical decisionはtreating professionalに属します。
## 2. 対象・対価・範囲
packageはinitial assessment、referralごとemployee 5回までのphysiotherapy、fitness for workについてのreasonable report、monthly anonymised utilisation reportです。emergency care、clinician scope外のprescribing、Northgateだけが求めるdiagnosis、agreed referral外のtreatmentは除きます。feeはinitial 185ポンド、follow-up 95ポンド、該当すればVAT別です。
## 3. 実施上の義務
Merseyはappropriately registered clinicianを使い、relevantならprofessional indemnity・DBS requirementをverifyし、informed patient consentを得てreasonable adjustmentを提供します。clinicianはunsafeまたはcompetence外ならsessionをrefuse・stopできます。Northgateはdiagnosisやoutcomeをpatient consentとminimum necessary occupational reportを超えてpressureしません。
## 4. 法令・記録・管理
Merseyはretention policyに従いclinical note、consent record、chaperone decision、referral、incident reportを維持します。clinical recordのcontrollerはMersey、employee administration dataのcontrollerはNorthgateで、processor relationshipはUK GDPR下でdocumentします。safeguarding、serious incident、suspected data breachは適切なCQC、local authority、NHS、ICO routeへescalateします。
## 5. 期間・終了・救済
Northgateはaccurate employee contact detailを出し、referralのlawful basisを得て、invoiceを30日以内に払います。Merseyはcomplaint、consent withdrawal、clinical governance procedureをoperateし、premises・equipmentをmaintainし、operational closureをnotifyします。law・careに必要なrecordはconsent withdrawalでeraseできない場合があります。
## 6. 責任と留保
各当事者は60日前noticeでterminateでき、CQC registration loss、serious patient-safety breach、insolvency、notice後non-paymentならimmediate terminationが可能です。patient careをabandonせず、Merseyはsafe handoverまたはalternative careをsignpostします。death、negligenceによるpersonal injury、fraud、unlawful clinical conductはlimitせず、その他capは500,000ポンドです。
## 7. 準拠法と署名
England and Wales lawを適用します。statutory patient right、CQC complaint、NHS route、professional regulation、UK GDPR rightはinconsistent termに優先します。Merseyのregistered manager Dr Farah KhanとNorthgateのHR director Lewis Grantが2029年10月7日に署名し、本契約はindividual clinical assessmentやmedical adviceの代替ではありません。
