# IP CO-OWNERSHIP AGREEMENT（IP共同所有契約）

当事者： Tideway Robotics LimitedおよびFenland Engineering Limited
## 1. 当事者と目的
12 Kingfisher Way, Cambridge CB4 0WSのTideway Robotics Limited（Company No. 11021874）と、4 Foundry Lane, Peterborough PE1 5XZのFenland Engineering Limited（Company No. 08841129）は、2028年3月1日付Collaboration Agreementで共同開発したDockSense control softwareのrightをjointly ownします。
## 2. 対象・対価・範囲
Tidewayはcopyright、database right、invention、know-howの60%、Fenlandは40%を所有し、対象をSchedule 1に列記します。各自のbackground IPは各自に残ります。employee contributionはそのpartyへassignしてからco-ownership arrangementにholdし、無関係なtoolがjointly ownedだと示しません。
## 3. 実施上の義務
各ownerはconfidentialityとsafety dutyに従い、internal useとown productでの利用を他方へのaccountなしにできます。external commercial licence、sublicence、assignment、open-source release、core codeのmaterial changeは双方のwritten consentが必要です。Net licence incomeは合意direct cost後に60:40で分けます。
## 4. 権利・記録・法令遵守
Tidewayはsource repositoryとrelease logをmaintainし、Fenlandはsecure accessとquarterly technical reportを受けます。各partyはpatent、registration、maintenance、agreed enforcement costのshareを払います。patent filingにはnovelty searchと30日以内のwritten decisionを要求し、abandonするpartyはinterestを他方へofferします。
## 5. 期間・終了・救済
いずれもIPがthird-party right freeだとwarrantしません。infringement claimをpromptly discloseし、evidenceをpreserveし、cooperateします。TidewayはFenlandのapprovalでordinary infringement enforcementをleadし、cost後のrecoveryをownership percentageで配分します。confidential informationをprotectし、customer dataにはUK GDPRを適用します。
## 6. 責任と留保
material breachには20 Business Daysのcure期間があります。deadlockではdirectorsがmeetingし、その後CEDR mediationをします。non-urgent disputeでprocess終了前にcourt proceedingを開始しません。collaborationを離れるpartyはindependently valued priceでinterestをofferでき、existing productに必要なbackground IP licenceは続きます。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。Tidewayのdirector Louise GrantとFenlandのdirector Iqbal Hussainは2029年11月20日に署名します。本documentはco-ownershipを記録するもので、partnership、agency、pre-existing IPのassignmentではありません。
