## 1. 当事者、transactionおよび定義

Wessex Bank plc宛て。Ashdown Group plcは、wholly owned subsidiary Ashdown Logistics Limited向け予定revolving facility £4,000,000について書きます。Ashdownは現在100%をownしfacility outstanding中はcontrolをretainするexpectedです。

## 2. commercial scopeおよびconsideration

Ashdownはsubsidiaryのbusiness planを知り、current informationに基づきordinary courseでmanagement・treasury supportを続けるexpectedです。本letterはpresent intentionとinformationだけをrecordします。

## 3. 履行、approvalおよびrecord

guarantee、indemnity、surety、undertaking to pay、charge、letter of credit、subsidiary debtのassumptionではありません。Ashdownは全loss、shortfall、bankへのpaymentをpromiseしません。

## 4. IP、confidentialityおよびdata

controlを失うかstatementをmaterially misleadingにするmaterial changeを知ればBankへnotifyします。disposal、dividend、borrowingをpreventするundertakingはせず、facilityはcredit documentに従います。

## 5. 期間、terminationおよびtransition

Bankはcredit assessmentに使えますが、confidentiality termsのadviser、regulator、funder、permitted transferee以外へdiscloseできません。facilityをchangeせず、third-party enforcement rightを作らず、subsidiaryのdefenceをwaiveしません。

## 6. risk allocationおよびremedy

Bankはcomfortとguaranteeのdistinctionについて独自のlegal adviceを得るべきです。Ashdownはexpress wordを超えるrelianceを意図せず、informationがconfidentialな限りconfidentialityはsurviveします。

## 7. England and Walesのlawと署名

England and Wales lawを適用しcourtsをexclusive jurisdictionとします。facilityのrepaymentまたはcancellationでexpireし、Group Finance Director Eleanor Priceがexpress termを超えるauthorityなく署名します。
