# LIVE STREAMING AND CONTENT LICENSING AGREEMENT（LIVE STREAMING・CONTENT LICENCE）

当事者： Apex Gaming UK LimitedおよびNia Williams trading as NiaPlays
## 1. 当事者と目的
50 Broad Street, Birmingham B1 2HFのApex Gaming UK Limited（Company No. 13290844、Brand）は、21 Grove Road, Cardiff CF11 6AAでNiaPlaysとしてtradingするNia Williams（Creator）に、fictional Northstar gameのlaunchを2030年3月22日にTwitchとYouTubeでlivestreamするようengageします。
## 2. 対象・対価・範囲
Creatorは少なくとも3時間streamし、approved game buildをshowし、60秒のsponsor message 2本を読み、合意したoverlayとlinkを置きます。ApexはVAT別4,000ポンドを、signing時2,000、stream後10 Business Days以内2,000（Creatorがplatform analyticsを供給することを条件）で払います。
## 3. 実施上の義務
CreatorはApexへ、30日間、owned websiteに最大2分のclip 5本をpostしVODをembedするnon-exclusive licenceをcredit付きでgrantします。copyright、channel、name rightはCreatorが保持します。Apexはclipをmisleadingにeditせず、third-party musicとcombineしません。ownershipやperpetual licenceはtransferしません。
## 4. 権利・記録・法令遵守
streamの前後7日間、Creatorはcompeting console game publisherをpromoteしませんが、Schedule 2でdiscloseしたpre-existing commitmentは除きます。Apexはfactual brand claimとoverlayをcompliance確認できますが、editorial opinionやunsafe technical actを強制できません。
## 5. 期間・終了・救済
Creatorはplatformのpaid-promotion toolをenableし、「This stream is sponsored by Apex Gaming」等の明瞭なverbal・written disclosureをし、ASA/CAP Codeとplatform ruleを守ります。Apexはsubstantiated claimとapproved assetを渡し、misleading adまたはregulatory concernを双方がpromptly correctします。
## 6. 責任と留保
Creatorは1080p stream、backup connection、reasonable moderationを提供します。platform outageまたはserious illnessでstreamできない場合、replacement dateを1回選ぶかunearned feeをrefundします。material breachでterminateでき、lawful clipのaccrued licence rightとconfidentialityはsurviveします。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。NiaとApexのmarketing director Chloe Martinは2030年3月1日に署名します。fraud、death・injuryを生じるnegligence、applicable advertising・consumer lawのobligationはexcludeしません。
