# MANAGEMENT CONSULTANCY AGREEMENT（MANAGEMENT CONSULTANCY AGREEMENT）

## 1. 目的と当事者
Oakwell Retail LimitedはMeridian Strategy Partners LLPをappointし、store operationをreviewして12か月のcustomer-service improvement planをproduceします。engagementは1 March〜31 August 2031で、Oakwellをbindするauthorityやregulated legal・financial・tax adviceのauthorityはありません。
## 2. 事実、範囲および条件
deliverableは31 March discovery report、30 April pilot design、31 May training material、31 August final implementation roadmapです。各deliverableにacceptance criteriaとone reasonable revision roundがあり、material defectは10 business days以内にcorrectします。
## 3. 手続と責任
Oakwellはaccurate data、access、project sponsorをprovideします。Meridianはmethodをcontrolしown equipmentをsupplyし、personal dataをhandleするnamed personnel以外のsubcontractorにはconsentを得ます。relationshipはindependent contractorでemployment、partnership、agencyではありません。
## 4. 証拠、記録および保護措置
feeはmonth £18,000 plus VAT、valid invoiceから30日以内payし、approved travelはcost reimbursementです。payment後、Meridianはnewly created deliverableをOakwellへassignし、pre-existing toolをretainしてembedded know-howのperpetual licenceをgrantします。third-party materialにはsuitable licenceが必要です。
## 5. review、escalationおよびoutcome
両partyはconfidential informationをprotectしUK GDPR、security instruction、competition-law safeguardに従います。Meridianはemployee-level dataを不要にcopyしません。Oakwellはdeliverable statusをauditでき、Meridianはworking paperを6年retainします。
## 6. 留保と実務上の保護
30 days noticeでterminateでき、10 business days内にcureしないmaterial breach、insolvency、unlawful conductならimmediate terminationです。Oakwellはproperly performed workとterminationまでのcommitted non-cancellable costをpayしますが、future profitをguaranteeしません。disputeはsponsor、mediationを経てcourtへescalateします。
## 7. England and Walesの法と完了
England and Wales lawを適用します。hand、post、contract emailをreceipt rule付きの別個permit notice methodとします。25 February 2031にsignし、statement of workとdata scheduleをagreementのpartとします。
